ANSYS Group definition

ANSYS Group means ANSYS and its Affiliates from time to time. “ANSYS Background IPR” means all intellectual property rights of the ANSYS Group developed before the date of this Agreement or otherwise than in the course of performing the ANSYS Evaluation Services. “Evaluation Services” mean services free of charge to be performed by ANSYS for the Prospect under the Agreement as more particularly described in the SOW.

  • The Receiving Party may provide Confidential Information to ANSYS Group employees and contractors or subcontractors provided that such disclosure is reasonably necessary to carry out the purpose of this Agreement and provided that the Receiving Party has a confidentiality agreement in place with such subsequent recipients of Confidential Information requiring such employees, contractors, and subcontractors to protect the Confidential Information in no less stringent terms as the Receiving Party.

  • Where ANSYS is the Receiving Party, ANSYS may provide the Company’s Confidential Information to ANSYS Group employees and contractors or subcontractors, provided that such disclosure is reasonably necessary to carry out the purpose of this Agreement and provided that ANSYS has bound such recipients of the Company’s Confidential Information to confidentiality agreements that protect the Company’s Confidential Information in no less stringent terms as those outlined by this Section 8.

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • Employer Group means the Corporation and any Parent or Subsidiary and any other corporation or business controlled by, controlling or under common control with, the Corporation, as determined in accordance with Sections 414(b) and (c) of the Code and the Treasury Regulations thereunder, except that in applying Sections 1563(1), (2) and (3) of the Code for purposes of determining the controlled group of corporations under Section 414(b), the phrase “at least 50 percent” shall be used instead of “at least 80 percent” each place the latter phrase appears in such sections and in applying Section 1.414(c)-2 of the Treasury Regulations for purposes of determining trades or businesses that are under common control for purposes of Section 414(c), the phrase “at least 50 percent” shall be used instead of “at least 80 percent” each place the latter phrase appears in Section 1.4.14(c)-2 of the Treasury Regulations. Any such determination as to Separation from Service, however, shall be made in accordance with the applicable standards of the Treasury Regulations issued under Section 409A of the Code.

  • Comparison Group means a sample group of organisations providing Comparable supply of Services which consists of organisations which are either of similar size to the Supplier or which are similarly structured in terms of their business and their service offering so as to be fair comparators with the Supplier or which, are best practice organisations;

  • Buyer’s Group means the Buyer, any subsidiary of the Buyer, any holding company of the Buyer and any subsidiary of any holding company of the Buyer, from time to time.

  • Relevant Group means the Company and any affiliated, combined, consolidated, unitary or similar group of which the Company is or was a member.

  • Associated Companies : means any agent with delegated authority under Section 20 of these Terms and Conditions.
