Approved Investment Bank definition

Approved Investment Bank means an investment bank listed on Appendix E, or such other investment bank as the Required Limited Partners may approve from time to time.

Approved Investment Bank means any of the following investment banks, including affiliates and successors thereof: Bank of America Corp, UBS, Xxxxxxx Xxxxx and Co., Xxxxxx Xxxxxxx Incorporated, X.X. Xxxxxx, Credit Suisse, CITIGROUP, Deutsche Bank and any other internationally recognised investment bank as agreed between the TPG Investor Entities (as a group), the KKR Investor and REA (each acting reasonably);

Approved Investment Bank means Goldman Sachs Bank USA, JPMorgan Chase Bank, USA or such other bank as may be mutually agreed by Remainco and RMT Partner.

• If any doubt shall arise as to the appropriate adjustment to the Conversion Price, a certificate of the Approved Investment Bank or the Auditors shall be conclusive and binding on all concerned save in the case of manifest or gross mistakes.

• Where any of the provisions of these Conditions permits or requires a determination by an Approved Investment Bank or the Auditors, the Company shall have the right to select either a investment bank of international repute (being the “Approved Investment Bank”) or the Auditors to make the determination provided that any appointment of an Approved Investment Bank by the Company for the purpose of this Condition 6 shall first be approved by the Bondholders.

• Provided that if in the opinion of the Approved Investment Bank or the Auditors, the fair market value as aforesaid produces a result which is significantly inequitable, the Approved Investment Bank or the Auditors may, acting as an expert, instead determine (and in such event the above formula shall be construed accordingly) the amount which should properly be attributed to the value of the Capital Distribution.

Approved Investment Bank means an investment bank or financial advisory company or professional accounting firm in Hong Kong selected by the Company;

Approved Investment Bank an investment bank appointed in accordance with the provisions of Condition 6;
