Approved Law Firm definition

Approved Law Firm means any law firm (i) located in New York City and (ii) rated "av" by Xxxxxxxxxx-Xxxxxxx Law Directory.
Approved Law Firm means any law firm (i) located in New York or Delaware, (ii) having 50 or more attorneys and (iii) rated "av" by Xxxxxxxxxx-Xxxxxxx Law Directory; provided, however, that such law firm shall not, for a five- year period prior to the Indemnifiable Event, have been engaged by the Company, an Acquiring Person or the Indemnitee.
Approved Law Firm means any law firm (i) located in Houston, Texas, (ii) rated "av" by Martindale-Hubbell Law Directxxx; xxxxxxxx, xxxever, that such law firm shall not, for a five (5) year period prior to the Indemnifiable Event (as hereinafter defined), have been engaged by Grey Wolf, an Acquiring Person (as hereinafter defined) or Indemnitee.

  • Unless Indemnitee has theretofore selected counsel pursuant to this Section 4 and such counsel has been approved by the Company, any Approved Law Firm shall be deemed to satisfy the requirements set forth above.

Approved Law Firm means a firm of lawyers qualified under applicable law to practise that law and approved by the Commission for the purposes of these rules;

Approved Law Firm means any law firm that has at least twenty (20) attorneys (wherever located) and an office located in Kansas and is rated “av” by Martindale-Hubbell Law Directory; provided, however, that such law firm shall not, for a five-year period prior to the earliest date as of which Indemnitee first has actual knowledge of the relevant Indemnifiable Claim, have been engaged by the Company, an Acquiring Person, any affiliate or associate of an Acquiring Person, or Indemnitee.

Approved Law Firm means any law firm selected by the Company and approved by the Indemnitee (which approval shall not unreasonably be withheld) (i) experienced in matters of corporate law and representation of public companies, (ii) having 300 or more attorneys, and which otherwise does not have a conflict of interest (under applicable standards of professional conduct), so long as such law firm has not, for a five- year period prior to the Indemnifiable Event, been engaged by the Company, any successor corporation resulting from a Business Combination or Indemnitee.
