Approved LC Foreign Currencies definition

Approved LC Foreign Currencies means (x) Canadian Dollars, British Pounds Sterling, Danish Kroner, and Euros (collectively, the “Approved Anticipated LC Foreign Currencies”) and (y) such other currencies other than Dollars and other than the Approved Anticipated LC Foreign Currencies as Issuer shall approve in its sole discretion from time to time (any such other approved currencies, the “Approved Additional LC Foreign Currencies”).
Approved LC Foreign Currencies means United Arab Emirates dirham/ Emirati dirham (AED), and such other currencies other than Dollars as Issuer shall approve in its sole discretion from time to time.
Approved LC Foreign Currencies means (x) Canadian Dollars, British Pounds Sterling, Danish Kroner, and Euros (collectively, the “Approved Anticipated LC Foreign Currencies”) and (y) such other currencies other than Dollars and other than the Approved Anticipated LC Foreign Currencies as Issuer shall approve in its sole discretion from time to time (any such other approved currencies, the “Approved Additional LC Foreign Currencies”). “Approved Fund” shall mean any Fund that is administered, advised, managed, underwritten, or sub-advised by (a) a Lender, (b) an Affiliate of a Lender, or (c) an entity or an Affiliate of an entity that administers, advises, manages, underwrites, or sub-advises a Lender. “Approved Supply Chain Customer” shall mean each Customer of any Company participating in an Approved Supply Chain Financing. “Approved Supply Chain Financing” shall mean each Supply Chain Financing offered by a Customer of any Company and in which such Customer has requested that such Company participate: (x) which has been approved in writing by Agent (acting in its Permitted Discretion) as to the applicable Customer, the applicable bank or other financial institution, and the terms of such Supply Chain Financing and (y) in the case of any such Approved Supply Chain Financing that will involve any Disposition of Receivables by any Loan Party, with respect to which Agent and the applicable bank or other financial institution shall have entered into a Supply Chain Lien Agreement acceptable to Agent in its Permitted Discretion. “Available Amount” shall mean, as of any date of determination, the amount equal to: (a) the sum of (without duplication): (i) $105,000,000 plus (ii) the Net Cash Proceeds of any issuances of Equity Interests (other than Disqualified Equity Interests and Specified Equity Contributions) by Parent made after the Closing Date plus (iii) the Net Cash Proceeds of any issuances of Permitted Indebtedness pursuant to clause (h) of the definition of that Term made after the Closing Date, minus (b) the sum of (without duplication): (i) all Permitted Acquisitions made after the Closing Date but prior to such date of determination under and/or in reliance on clause (d) of the definition of such term, (ii) all Permitted Investments made after the Closing Date but prior to such date of determination under and/or in reliance on clause (e) of the definition of Permitted 4 074658.21069/130240014v.3

  • Foreign Currencies means Agreed Currencies other than Dollars.

  • Foreign Currency LC Exposure means, at any time, the sum of (a) the Dollar Amount of the aggregate undrawn and unexpired amount of all outstanding Foreign Currency Letters of Credit at such time plus (b) the aggregate principal Dollar Amount of all LC Disbursements in respect of Foreign Currency Letters of Credit that have not yet been reimbursed at such time.

  • Alternative Currencies means any currency (other than Dollars) approved by the Administrative Agent and the applicable Issuing Bank.

  • Foreign Currency means any currency or currency unit issued by a government other than the government of The United States of America.

  • Foreign Currency Letter of Credit means a Letter of Credit denominated in a Foreign Currency.

  • Designated Foreign Currency means Euros, Canadian Dollars, British pounds, Australian dollars or any other currency (other than Dollars) approved in writing by the Lenders and that is freely traded and exchangeable into Dollars.

  • Agreed Foreign Currency means, at any time, (i) any of Canadian Dollars, English Pounds Sterling, Euros, Japanese Yen, Australian Dollars, Swiss Franc, Swedish Krona and New Zealand Dollars, and (ii) with the agreement of each Multicurrency Lender, any other Foreign Currency, so long as, in respect of any such specified Foreign Currency or other Foreign Currency, at such time (a) such Foreign Currency is dealt with in the London interbank deposit market, (b) such Foreign Currency is freely transferable and convertible into Dollars in the London foreign exchange market or the relevant local market, if applicable, and (c) no central bank or other governmental authorization in the country of issue of such Foreign Currency (including, in the case of the Euro, any authorization by the European Central Bank) is required to permit use of such Foreign Currency by any Multicurrency Lender for making any Loan hereunder and/or to permit the Borrower to borrow and repay the principal thereof and to pay the interest thereon, unless such authorization has been obtained and is in full force and effect.

  • Alternate Currency means (i) with respect to any Letter of Credit, Canadian Dollars, Euros, Pound Sterling, Swiss Francs, Mexican Pesos, Australian Dollars and any other currency other than Dollars as may be acceptable to the Administrative Agent and the Issuing Bank with respect thereto in their sole discretion and (ii) with respect to any Loan, any currency other than Dollars that is approved in accordance with Section 1.05.

  • Currencies means, collectively, Dollars and each Alternative Currency.

  • Alternative Currency means each of Euro, Sterling, Yen and each other currency (other than Dollars) that is approved in accordance with Section 1.07.

  • Alternate Currency Letter of Credit means any Letter of Credit denominated in an Alternate Currency.

  • Alternative Currency Letter of Credit means a Letter of Credit denominated in an Alternative Currency.

  • Foreign Currency Loan means any Loan denominated in a Foreign Currency.

  • Eligible Currency means any currency other than Dollars that is readily available, freely traded, in which deposits are customarily offered to banks in the London interbank market, convertible into Dollars in the international interbank market available to the Lenders in such market and as to which a Dollar Amount may be readily calculated. If, after the designation by the Lenders of any currency as an Agreed Currency, currency control or other exchange regulations are imposed in the country in which such currency is issued, or any other event occurs, in each case with the result that different types of such currency are introduced, such country’s currency is (i) in the determination of the Administrative Agent, no longer readily available or freely traded, or (ii) as to which, in the determination of the Administrative Agent, a Dollar Amount is not readily calculable a “Disqualifying Event”), then the Administrative Agent shall promptly notify the Lenders, the Domestic Borrowers and any applicable Foreign Borrower, and such country’s currency shall no longer be an Agreed Currency until such time as the Disqualifying Event(s) no longer exist, but in any event within five (5) Business Days of receipt of such notice from the Administrative Agent, the Domestic Borrowers or such applicable Foreign Borrower shall repay all Loans in such currency to which the Disqualifying Event applies or convert such Loans into the Dollar Amount of Loans in Dollars, subject to the other terms contained in Article II.

  • Quote Currency means the second currency in the Currency Pair which can be bought or sold by the Client for the Base Currency.

  • Reference Currency means the currency specified as such in the applicable Final Terms.

  • Canadian Dollar means the lawful currency of Canada.

  • Agreed Currencies means (i) Dollars, (ii) euro, (iii) Pounds Sterling, (iv) Canadian Dollars and (v) any other Foreign Currency agreed to by the Administrative Agent and each of the Lenders.

  • Multicurrency LC Exposure means, at any time, the sum of (a) the aggregate undrawn amount of all outstanding Multicurrency Letters of Credit at such time plus (b) the aggregate amount of all LC Disbursements in respect of such Letters of Credit that have not yet been reimbursed by or on behalf of the Borrower at such time. The Multicurrency LC Exposure of any Lender at any time shall be its Applicable Multicurrency Percentage of the total Multicurrency LC Exposure at such time.

  • Overnight Foreign Currency Rate means, for any amount payable in a Foreign Currency, the rate of interest per annum as determined by the Administrative Agent at which overnight or weekend deposits in the relevant currency (or if such amount due remains unpaid for more than three (3) Business Days, then for such other period of time as the Administrative Agent may elect) for delivery in immediately available and freely transferable funds would be offered by the Administrative Agent to major banks in the interbank market upon request of such major banks for the relevant currency as determined above and in an amount comparable to the unpaid principal amount of the related Credit Event, plus any taxes, levies, imposts, duties, deductions, charges or withholdings imposed upon, or charged to, the Administrative Agent by any relevant correspondent bank in respect of such amount in such relevant currency.

  • Alternative Currency Daily Rate means, for any day, with respect to any Credit Extension:

  • Foreign Currency Hedge means any foreign exchange transaction, including spot and forward foreign currency purchases and sales, listed or over-the-counter options on foreign currencies, non-deliverable forwards and options, foreign currency swap agreements, currency exchange rate price hedging arrangements, and any other similar transaction providing for the purchase of one currency in exchange for the sale of another currency.

  • Balance Currency means the currency that the trading account is denominated in and all charges including spreads, commissions and swaps, are calculated in that currency.

  • Dollar LC Exposure means, at any time, the sum of (a) the aggregate undrawn amount of all outstanding Dollar Letters of Credit at such time plus (b) the aggregate amount of all LC Disbursements in respect of such Letters of Credit that have not yet been reimbursed by or on behalf of the Borrower at such time. The Dollar LC Exposure of any Lender at any time shall be its Applicable Dollar Percentage of the total Dollar LC Exposure at such time.
