Archdiocese Parties means collectively the Archdiocese and, in their capacity as such: (i) each of the past, present, and future parents, subsidiaries, merged companies, divisions, and acquired companies of the Archdiocese; (ii) any and all named insureds, insureds, additional insureds, covered party, additional covered party, and Protected Person (as such term is defined in the Catholic Mutual Certificates) under the Archdiocesan Settling Insurer Entity Policies; (iii) each of the foregoing Persons’ respective past, present, and future parents, subsidiaries, merged companies, divisions, and acquired companies; (iv) each of the foregoing Persons’ respective predecessors, successors, and assigns; and (v) any and all past and present employees, officers, directors, shareholders, principals,
Archdiocese Parties means collectively the Archdiocese and: (i) each of the past, present, and future parents, subsidiaries, merged companies, divisions, and acquired companies of the Archdiocese; (ii) any and all named insureds, insureds, and additional insureds under the Archdiocesan Settling Insurer Entity Policies; (iii) each of the foregoing Persons’ respective past, present, and future parents, subsidiaries, merged companies, divisions and acquired companies; (iv) each of the foregoing Persons’ respective predecessors, successors and assigns; and (v) any and all past and present employees, officers, directors, shareholders, principals, teachers, staff, members, boards, administrators, priests, deacons, brothers, sisters, nuns, other clergy or religious, volunteers, agents, attorneys, and representatives of the Persons identified in the foregoing subsections (i)-(iv), in their capacity as such. Nothing in the foregoing is intended to suggest that such Persons are “employees” or agents of the Archdiocese or subject to its control. An individual who perpetrated an act of Abuse that forms the basis of a Tort Claim is not an Archdiocese Party.
Archdiocese Parties means collectively: (i) the Reorganized Debtor; (ii) the Archdiocese; (iii) the ASF Participating Parties; (iv) any and all named insureds, additional insureds, insureds, and any Person or Entity to the extent such Person or Entity is covered under the Certificates or the Insurance Policies with respect to which the Archdiocese has authority, or has been granted authority, to release the Claims released pursuant to the Insurer Settlement Agreements and this Plan; (v) any and all past and present shareholders, principals, teachers, staff, members, boards, administrators, priests, deacons, brothers, sisters, nuns, other clergy or religious, volunteers, and Representatives of the Archdiocese and of the ASF Participating Parties, and (vi) each of the past, present, and future Affiliates, holding companies, merged companies, related companies, divisions, and acquired companies of the Archdiocese and ASF Participating Parties, and each of their respective past, present and future Affiliates, holding companies, merged companies, related companies, divisions and acquired companies, and each of their respective predecessors, successors, and assigns, each in their capacity as such. An Archdiocese Party does not include, (a) any Perpetrator, (b) any archdiocese or diocese other than the Archdiocese itself,

  • From and after the first day on which the Approval Orders are Final 5 Orders, the Settling Insurer Entities hereby buy back the Policies free and clear of all Interests 6 of all Persons, including all Interests of the Archdiocese Parties, any other Person claiming coverage by, through, or on behalf of any of the Archdiocese Parties, any other insurer, and 7 any Tort Claimant.

  • Contractor Parties means a Contractor’s members, directors, officers, shareholders, partners, managers, principal officers, representatives, agents, servants, consultants, employees or any one of them or any other person or entity with whom the Contractor is in privity of oral or written contract (e.g. subcontractor) and the Contractor intends for such other person or entity to perform under the Contract in any capacity.
