Assigned Value Notice definition

Assigned Value Notice. A notice delivered by the Administrative Agent to the Borrower and the Collateral Custodian specifying the value of a Loan determined in accordance with terms of the definition ofAssigned Value” in this Section 1.1, which notice shall include the reasons supporting the Administrative Agent’s determination that a Value Adjustment Event has occurred.
Assigned Value Notice. A written notice in the form of Exhibit A-7 (which may be sent by e-mail) delivered by the Administrative Agent to the Borrower, the InvestmentCollateral Manager, the Collateral Custodian specifying the value of a Loan determined in accordance with terms of the definition ofAssigned Value” in this Section 1.1.
Assigned Value Notice has the meaning assigned to that term in the defined term “Adjusted Assigned Value”.

Examples of Assigned Value Notice in a sentence

  • With respect to any Recurring Revenue Loan, the Liquidity for such Loan on the date such Loan (i) was first included as part of the Collateral or (ii) if applicable, was most recently assigned a new Assigned Value by the Administrative Agent pursuant to clause (a)(iii) of the definition of Assigned Value after the occurrence of a Value Adjustment Event, as set forth in the applicable Assigned Value Notice with respect to such Loan.

Related to Assigned Value Notice

  • Assigned Value means the Market/Offer Price, as defined in Section 7.

  • Property Notice means any order, notice, proposal, demand or other requirement issued by any competent authority (including the Landlord) which materially affects the Academy Trust’s ability to use the Land for the purposes of the Academy.

  • Valuation Notice means the notice given by the Partnership pursuant to Section 8.5(b) or Section 8.6(a) and stating the Initial Value at which a Purchase Right is to be exercised or at which a Repurchase Obligation is to be effected.

  • Reference Notice means a notice given to the Water Services Regulation Authority under paragraph 11 or 14 of Condition B;

  • Acquisition Notice has the meaning set forth in Section 2.5(a).

  • Addition Notice With respect to the transfer of Subsequent Mortgage Loans to the Trust Fund pursuant to Section 2.08, a notice of the Depositor's designation of the Subsequent Mortgage Loans to be sold to the Trust Fund and the aggregate principal balance of such Subsequent Mortgage Loans as of the Subsequent Cut-off Date. The Addition Notice shall be given not later than three Business Days prior to the related Subsequent Transfer Date and shall be substantially in the form attached hereto as Exhibit P.

  • Disposition Notice is defined in Section 5.2(a).

  • Reset Notice has the meaning specified in Section 3.07.

  • Co-Sale Notice has the meaning set forth in Section 5.3.

  • Determination Notice is defined in Section 6.1(b)(i) of the Agreement.

  • Call Option Notice means a written notice from the holder of the Call Option or the Administrator, as applicable, stating its desire to exercise the Call Option on the related Reset Date, delivered to each Clearing Agency, the Indenture Trustee, the Remarketing Agents, the Rating Agencies and, if the related class of Reset Rate Notes is then listed on the Luxembourg Stock Exchange, the Administrator will forward a copy to the Luxembourg Listing Agent (the contents of which are to be published in a leading newspaper having general circulation in Luxembourg).

  • Due notice means notice published at least twice, with an interval of at least six days between the two publication dates, in a newspaper or other publication of general circulation within the appropriate area; or, if no such publication of general circulation be available, by posting at a reasonable number of conspicuous places within the appropriate area, such posting to include, where possible, posting at public places where it may be customary to post notices concerning county or municipal affairs generally. At any hearing held pursuant to such notice, at the time and place designated in such notice, adjournment may be made from time to time without the necessity of renewing such notice for such adjourned dates.

  • Election Notice has the meaning set forth in Section 11.01(b).

  • Transfer Notice Date has the meaning given to it in Section 2.06.

  • Sale Notice has the meaning set forth in Section 3.04(b).

  • Closing Notice Has the meaning specified in the NPA. Company: Has the meaning specified in the first paragraph of this Trust Supplement.

  • Xxxxx Notice means the Notice of Grant of Stock Option accompanying the Agreement, pursuant to which Optionee has been informed of the basic terms of the option evidenced hereby.

  • Opt-Out Notice has the meaning specified therefor in Section 2.02(a) of this Agreement.

  • Put Option Notice means a notice which must be delivered to a Paying Agent by any Noteholder wanting to exercise a right to redeem a Note at the option of the Noteholder;

  • Specified Price has the meaning given in clause 3.3(b)(ii);

  • Objection Notice has the meaning set forth in Section 2.3(a) of this Agreement.

  • Pre-Notice shall have the meaning ascribed to such term in Section 4.13.

  • Option Notice has the meaning set forth in Section 5.2(a).

  • Subsequent Financing Notice shall have the meaning ascribed to such term in Section 4.12(b).

  • Major transit stop means a site containing an existing rail transit station, a ferry terminal served by either a bus or rail transit service, or the intersection of two or more major bus routes with a service interval frequency of 15 minutes or less during the morning and afternoon peak weekday commute periods, and offering weekend service.

  • Specified Property means property for which an election has been made for a special elective benefit.
