Assignment of Hedging Claims means a first priority assignment in favour of the Security Agent (on behalf of the Finance Parties) of each Borrower's rights, titles and interests under any Hedging Agreements related to this Facility, to be in form and substance acceptable to the Security Agent.

"Availability Period" means a) in respect of the Term Loan Facility: the period from and including the date of this Agreement to and including 30 June 2023, or such later date as may be agreed in writing by all the Lenders; and b) in respect of the Revolving Facility: the period from and including the date of this Agreement up to three (3) months prior to the Final Maturity Date. "Available Commitment" means, in relation to a Facility, a Xxxxxx's Commitment under the Facility minus: a) the amount of its participation in any outstanding Loans under that Facility; and b) in relation to any proposed drawdown only, the amount of its participation in any Loans that are due to be made under that Facility on or before the proposed Drawdown Date. "Bail-In Action" means the exercise of any Write-down and Conversion Powers. "Bail-In Legislation" means: a) in relation to an EEA Member Country which has implemented, or which at any time implements, Article 55 BRRD, the relevant implementing law or regulation as described in the EU Bail-In Legislation Schedule from time to time; b) in relation to the United Kingdom, the UK Bail-In Legislation; and c) in relation to any state other than such an EEA Member Country or the United Kingdom, any analogous law or regu...
