Assumed Commissions definition

Assumed Commissions is defined in Section 9.3(b) of the Agreement.

  • Buyer, during the Term of the Management Agreement, may pay, cause to be paid, satisfy or otherwise resolve the Assumed Commissions and to the extent any Assumed Commissions are paid, caused to be paid, satisfied or otherwise resolved, Buyer shall receive a credit towards the Section 3.1(a)(iii) portion of the Purchase Price on the Closing Date.

  • Except for the Assumed Commissions, any and all defaults under any Assigned Contracts existing prior to the Commencement Date will be cured by Seller prior to the Commencement Date and Seller shall pay all Cure Costs with respect thereto.

More Definitions of Assumed Commissions

Assumed Commissions means commissions payable by Buyer, pursuant to the commission arrangements described in Schedule 1.3. “Qualified Out-of-Pocket Expenses” means out-of-pocket third party expenses (i) incurred by Seller prior to the Effective Time but are not due until after the Effective Time, (ii) that relate to Seller Pipeline Loans acquired by Buyer and (iii) that are of a type that would be customarily paid through escrow.
Assumed Commissions means the obligations of Versyss or PCN to pay sales commissions to any sales person, sales representatives or sales agent of Versyss or PCN (whether or not such person is a Designated Employee (as defined in Section 9.3(a) above) or is offered or accepts employment with the Purchaser following the Closing) on account of any sale of the products of the Commercial Business made: (i) prior to the Closing and for which an account receivable exists and is properly recorded on the books and records of the Commercial Business on the Closing Date; or (ii) from and after the Closing.
Assumed Commissions means the obligations of WM or PCN to pay sales commissions to any sales person, sales representatives or sales agent of one or both of WM and PCN (whether or not such person is a Designated Employee (as defined in Section 9.3(a) above) or is offered or accepts employment with the Purchaser or Medical Manager following the Closing) on account of any sale of the products of the Sm*rt Practice Business made: (i) prior to the Closing and for which an account receivable (x) exists and is properly recorded on the books and records of the Sm*rt Practice Business on the Closing Date and (y) is collected by the Purchaser following on or following the Closing Date; or (ii) from and after the Closing.

  • Selling Commissions means any and all commissions payable to underwriters, dealer managers or other broker-dealers in connection with the sale of Shares, including, without limitation, commissions payable to the Dealer Manager.

  • Selling Commission means three percent (3.0%) of the gross proceeds of Shares sold pursuant to this Agreement, or as otherwise agreed between the Company and the Agent with respect to any Shares sold pursuant to this Agreement.

  • EMA means the European Medicines Agency or any successor agency thereto.

The term does not include an association, corporation, or organization of governmental entities organized to provide to its members education, assistance, products, or services or to represent its members before the legislative, administrative, or judicial branches of the state or federal government.

  • Nuclear Regulatory Commission (NRC) means the U.S. Nuclear Regulatory Commission or its duly authorized representatives.
