Examples of Astellas Technology in a sentence
If Ironwood or Astellas becomes aware that any Ironwood Technology, Astellas Technology, or Collaboration Technology (including Joint Technology) is infringed, or misappropriated by a Third Party, in the Territory in the Field or is subject to a declaratory judgment action arising from such infringement (any of the foregoing, being an “Infringement”), Ironwood or Astellas, as the case may be, will promptly notify the other Party.
Except as expressly set forth in this Agreement, no right or license under any Ironwood Technology or Astellas Technology (or any other Astellas Technology) is granted or will be granted by implication as a result of the respective rights of the Parties under this Agreement.
Subject to the license grants under Section 2 of this Agreement, as between the Parties, Ironwood will own all Ironwood Technology and Astellas will own all Astellas Technology.
Astellas has the first right (but not the obligation) to enforce any Ironwood Technology, Astellas Technology, and Collaboration Technology (including Joint Technology), to the extent either Party has the legal power to enforce such Technology (“Subject Technology”), against an Infringement in the Territory, provided that Astellas may not admit the invalidity or unenforceability of any Ironwood Technology without first consulting with Ironwood and obtaining Ironwood’s prior written consent.
