Astellas Patents means all Patent Rights (a) that are Controlled by Astellas or its Affiliates at any time during the Term, and (b) that claim or cover Licensed Compounds or Products or their manufacture or use, and (c) in the case of any Reversion Product, solely to the extent such Patent Rights claim or cover an invention that is incorporated or used in such Reversion Product (or its Exploitation) as it exists and is made as of the applicable date of termination of this Agreement with respect to such Reversion Product, but excluding all Astellas Program Patents and Joint Program Patents.
Astellas Patents means all Patents owned or Controlled by Astellas or its Affiliate [***].
Astellas Patents means any Patent Right that is (a) Controlled by Astellas or its Affiliates during the Term and (b) reasonably necessary or useful for the Development, Manufacture, Commercialization or Medical Affairs Activities of Tirasemtiv and/or Product, provided, however, that Astellas Patents specifically exclude Collaboration Patents. The Astellas Patents existing as of the effective date of the Option grant are listed in Exhibit A. Astellas shall promptly update Exhibit A after the Effective Date.

Astellas shall keep Cytokinetics reasonably informed of the status of the Astellas Patents.
Astellas shall have the exclusive right to enforce the Astellas Patents for any infringement that is not a Product Infringement at its own expense as it reasonably determines appropriate.

Astellas Patents means any and all Patents Controlled by Astellas or its Affiliates during the Term claiming or covering (specifically or generically) (i) compositions of matter of any Other Compound or Other Product (or any formulation of either), (ii) methods or processes for the manufacture or synthesis of any Other Compound or Other Product (or any formulation of either) or (iii) methods of use, administration or formulation of any Other Compound or Other Product (or any formulation of either), including Patents that claim Astellas Independent Inventions and Astellas’ interest in Patents claiming Joint Inventions.
Astellas Patents means all Patents that Astellas or any of its Affiliates Controls as of the Effective Date or during the Term, which Patents claim the composition of matter of, or any method of making or using, Compound or Products in the Field, including (a) […***…] and […***…] and (b) corresponding foreign Patents. For clarification, in the case of a Combination Product, Astellas Patents do not include any Patents Controlled by Astellas or any of its Affiliates, which Patents relate to any therapeutically and/or prophylactically active ingredient in such Combination Product other than the Compound.

Astellas Patents means all present and future patents and patent applications including United States provisional applications and any continuations, continuations-in-part, divisionals, registrations, confirmations, revalidations, re-examinations, renewals, reissues, Patent Cooperation Treaty applications, certificates of addition, utility models, design patents and xxxxx patents, including without limitation extensions or restorations of terms thereof, pediatric use extensions, supplementary protection certificates or any other such right (“Patents”) that covers the making, having made, use, sale, offer for sale, or importation of THERAVANCE Compound or Licensed Product that are or become during the Term-Basic owned by ASTELLAS or ASTELLAS’ Affiliates, or as to which ASTELLAS or ASTELLAS’ Affiliates otherwise are or become during the Term-Basic licensed, now or in the future, in all cases solely to the extent ASTELLAS or any of its Affiliates Controls such Patent.
