B Share definition

B Share means (i) a non-voting class B ordinary share of US$10.22343609 in the capital of the Company from time to time, and (ii) any other shares in the capital of the Company which are designated as B Shares, whether with the same or a different nominal value;

B Share means a participating share of no par value in the capital of the Fund which has been designated as a B share and which may be accumulating or distributing in nature;

B Share means a B share of US$ 1 in the share capital of the Company;

Examples of B Share in a sentence

• Each Class B Shareholder will be entitled to cast a number of votes per Class B Share equal to: (i) the number that is three times the number of Class A Shares then issued and outstanding, divided by (ii) the number of Class B Shares then issued and outstanding.

• At any time that no Class A Shares are outstanding or for any vote held only in respect of the Class B Shares, each Class B Shareholder will be entitled to cast one vote per Class B Share.

• Each RSU subject to the Signing Performance-Based RSU Award shall be payable upon vesting of the RSU, as determined by the CCLG in its sole discretion, in the form of either Class B Shares, Class A Shares, cash or any combination of the foregoing, with such payment in any case to have an aggregate value (for each RSU so vested) equal to the fair market value (as determined under the Plan as defined below) of a Class B Share on the vesting date.

• The Signing Time-Based RSU Award shall be payable upon vesting of the RSU, as determined by the CCLG in its sole discretion, in the form of either Class B Shares, Lions Gate’s Class A common shares (“Class A Shares”), cash or any combination of the foregoing, with such payment in any case to have an aggregate value (for each RSU so vested) equal to the fair market value (as determined under the Plan, as defined herein) of a Class B Share on the vesting date.

• Each Tendering Class B Shareholder shall continue to own each Class B Share subject to any Notice of Class B Retraction, and be treated as a Class B Shareholder with respect to each such Class B Share for all other purposes of these Articles, until such Class B Share has been redeemed by the Company in accordance with §26.11 to §26.16.

More Definitions of B Share

B Share means a "B" ordinary share of (pound)1 in the share capital of the Company having the rights and being subject to the limitations and restrictions set out in the Articles together with any other shares derived therefrom or issued or allotted to the "B" Shareholder;

B Share means a redeemable B ordinary share of $0.016281 in the Company;

B Share means an ordinary share of £1 in the capital of the Company;
