Background definition

Background means any information, documentation, designs, technical drawings, software (system and application software), algorithms, elaborated design data, technical or industrial data, tools, knowledge, know-how, trade secrets, equipment and services process, methodology, and any intellectual property therein, regardless of their support and whether or not protected by an intellectual property right, developed, created or acquired by one Party independently of the execution of the Contract. The Background shall remain at all times the property of the said Party and its affiliate(s).
Background means information which is held by beneficiaries prior to their accession to this agreement, as well as copyrights or other intellectual property rights pertaining to such information, the application for which has been filed before their accession to this agreement, and which is needed for carrying out the project or for using foreground;
Background means any data, know-how or information whatever its form or nature, tangible or intangible, including any rights such as intellectual property rights, that is: (i) held by beneficiaries prior to their accession to the action; and (ii) identified by the beneficiaries in a written agreement as needed for implementing the action or for exploiting its results;

Examples of Background in a sentence

  • The Contractor shall retain in its personnel files all pertinent information, to include a Background Information Disclosure Form and/or search results from the Department of Justice, the Department of Health Services, and the Department of Safety and Professional Services, as well as out of state records, tribal court proceedings and military records, if applicable.

  • In the event that Participants disagree on whether the requested Background and/or Foreground is Needed in accordance with this Section 9.3, each of the Participants may request the Project Committee to decide the matter in accordance with Article 6.5 (d).

  • If a Participant Needs Access Rights for the purpose of the implementation of the Project, such Participant shall request the relevant Participant in writing to make such Background or Foreground under the Access Rights available.

More Definitions of Background

Background means all Technical Output that is not Foreground and that is proprietary to or the confidential information of the Consultant, the Consultant’s Sub-Consultants, or any other entity engaged by the Consultant in the performance of the Services;
Background means all information, know-how and material, whatever its form or nature, owned or controlled by a Participant prior to its participation to this Consortium Agreement, as well as any intellectual property rights pertaining to such data, that is Needed to implement the Project or to exploit the Foreground.
