Base Shares definition

Base Shares means the Base Shares issued under the 1995 Plan.

Base Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

Examples of Base Shares in a sentence

• Notwithstanding anything in the Equity Definitions to the contrary, the Calculation Agent may make an adjustment pursuant to Calculation Agent Adjustment to any one or more of the Base Shares, the Forward Price and any other variable relevant to the settlement or payment terms of the Transaction.

• Grantee shall have no rights as a stockholder of any Base Shares or Gain Shares unless and until the Gain Shares are issued to Grantee upon the exercise of the Award.

• Notwithstanding anything in the Equity Definitions to the contrary, for each Transaction, the Calculation Agent may make an adjustment pursuant to Calculation Agent Adjustment to any one or more of the Base Shares for such Transaction, the Forward Price for such Transaction and any other variable relevant to the settlement or payment terms of such Transaction to preserve the economic intent of the parties.

• The Sales Charge in respect of the Base Shares will not exceed 5.5% of the purchase price of Shares.

• The Base Shares that vest pursuant to this paragraph shall become exercisable in accordance with the normal vesting schedule set forth in Section 2(a) and shall expire at the earlier of (i) three years after the date of your Retirement, or (ii) the Expiration Date (as defined below).

Base Shares means a number of Buyer Ordinary Shares (rounded down to the nearest whole share) equal to 19.9% of the total number of Buyer Ordinary Shares that are issued and outstanding as of immediately prior to the Closing.

Base Shares means 131,544 shares of PSI common stock.
