Basket Sponsor means Deutsche Bank AG, London branch.

  • The Basket Sponsor will make available the Basket Closing Level of the Basket on each Basket Business Day as soon as reasonably practicable after 16.00 London time on the next Basket Business Day following such Basket Business Day (the “Basket Publication Time”).

  • If a market price at the Relevant Time on any Trading Day is available for such Basket Constituent on the relevant Exchange, such market price will be the Trading Price of such Basket Constituent for such Trading Day, or if lower, the average price of three (or such other lower number as the Basket Sponsor may obtain) bid offers from third parties as may be obtained by the Basket Sponsor, all as determined by the Basket Sponsor.

  • The Basket Closing Level shall be calculated and published by the Basket Sponsor rounded to the two decimal places with 0.005 being rounded upwards, as set out in Section 10 (Availability and Publication of Basket Closing Levels and Adjustments) below.The methodology described in this Section 5 is subject to the provisions set out in Section 9 (Change in the Methodology of the Basket and Termination) below.

  • Any use of any such intellectual property rights must be with the prior written consent of the Basket Sponsor.

  • Event” means an event or circumstance (including, without limitation, a systems failure, fire, building evacuation, natural or man-made disaster, act of God, armed conflict, act of terrorism, act of state, riot or labour disruption or any similar intervening circumstance) that affects the ability of the Basket Sponsor to calculate or determine the Basket and which is beyond the reasonable control of the Basket Sponsor.

  • In calculating and determining the value of the Basket, the Basket Sponsor shall, subject as provided below, employ the methodology described above and its application of such methodology shall be conclusive and binding.

  • Any determinations required to be made in connection with the composition of, calculation methodology of, or adjustments to the Basket, or any of its Components will be made by the Basket Sponsor.

  • The role played by Goldman, Sachs & Co., as Basket Sponsor, and the exercise by it of the kinds of discretion described above could present it with a conflict of interest of the kind described under “There may be conflicts of interest between you and Goldman Sachs" above.

  • Goldman Sachs & Co., as Basket Sponsor has no obligation to take your interests into consideration for any reason.

  • The Basket Sponsor will calculate the Basket Closing Value on each Basket Calculation Day based on the Closing Levels for each Component as set out in the Basket Table (as set forth below in paragraph 3 of this Section B) even if a Market Disruption Event has occurred or is existing on such Basket Calculation Day in respect of any Component included in the Basket.

  • Sponsor shall have the meaning given in the Recitals hereto.

  • Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) [replaced by The Companies Act, 2013 (No.18 of 2013)] and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund.

  • Project Sponsor and “Sponsor” means an Applicant/Co-Applicants who receives a Carryover Allocation of Tax Credits and any other person who acquires an ownership interest in any owner of a project which has received a Carryover Allocation of Tax Credits from the Division.

  • Financial Sponsor means any Person, including any Subsidiary of such Person, whose principal business activity is acquiring, holding, and selling investments (including controlling interests) in otherwise unrelated companies that each are distinct legal entities with separate management, books and records and bank accounts, whose operations are not integrated with one another and whose financial condition and creditworthiness are independent of the other companies so owned by such Person.

  • Non-Lead Sponsor means the Note A-2 Holder in its capacity as the sponsor with respect to the Non-Lead Securitization Note in connection with the Non-Lead Securitization.

  • Sub-Investment Manager means for each Fund the sub-investment manager or sub-investment managers indicated in the tables on page x, and in addition for each Fund any other sub-investment manager that the Investment Manager may appoint in the future to manage the Fund, provided that disclosure of any such sub-investment managers appointed by the Investment Manager will be provided to Shareholders upon request and details thereof will be disclosed in the periodic reports to Shareholders, and provided further that each Sub-Investment Manager may appoint a sub-investment manager/advisor to manage/advise any portion of the assets of the Fund in accordance with the requirements of the Central Bank Rules;

  • Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;

  • Sponsor Group means the Sponsors and the Sponsor Related Parties.

  • Investment adviser representative means an individual employed by or associated with an investment adviser or federal covered investment adviser and who makes any recommendations or otherwise gives investment advice regarding securities, manages accounts or portfolios of clients, determines which recommendation or advice regarding securities should be given, provides investment advice or holds herself or himself out as providing investment advice, receives compensation to solicit, offer, or negotiate for the sale of or for selling investment advice, or supervises employees who perform any of the foregoing. The term does not include an individual who:

  • Sponsor Parties means Sponsor, Vendor, and Utility, their respective successors and assigns, and each of their respective affiliates, agents, directors, officers, and employees.

  • Benefit Plan Investor means an “employee benefit plan” as defined in Section 3(3) of ERISA that is subject to Title I of ERISA, a “plan” as defined in and subject to Section 4975 of the Code or an entity whose underlying assets include plan assets of any of the foregoing.

  • Sponsor Affiliate means an entity that joins with the Company and that participates in the investment in, or financing of, the Project and which meets the requirements under the FILOT Act to be entitled to the benefits of this Fee Agreement with respect to its participation in the Project, all as set forth in Section 5.13 hereof.

  • Sub-Fund means a segregated pool of assets and liabilities into which the Trust Fund is divided, established under the Trust Deed and the relevant supplemental deed as a separate trust as described in the relevant Appendix.

  • Sponsoring entity means a nonprofit corporation, nonprofit cooperative, state governmental entity, local unit of government as defined in ORS 466.706, housing authority or any other person, provided that the person has agreed to restrictive covenants imposed by a nonprofit corporation, nonprofit cooperative, state governmental entity, local unit of government or housing authority.

  • Independent Manager shall refer to a member of the Board that meets the standards of an “independent director” set forth in NASDAQ Marketplace Rule 4200(a)(15) (on any successor rule) with respect the Company, the Administrator and their respective affiliates. In the event a Special Committee is formed, the term “Independent Manager” shall, as the context requires, refer generically to each Independent Manager.

  • Independent Fiduciary means an independent fiduciary who will serve as a fiduciary to the Plan in accordance with Article 3 that has no relationship or interest in any of the Settling Parties and is mutually agreed to by the Settling Parties.

  • Managing Member means CEF Equipment Holding, L.L.C., a Delaware limited liability company or any successor Managing Member under the Issuer Limited Liability Company Agreement.

  • Majority in Interest of the Limited Partners means Limited Partners holding in the aggregate Percentage Interests that are greater than fifty percent (50%) of the aggregate Percentage Interests of all Limited Partners.

  • Canadian Investment Manager designation means the designation earned through the Canadian investment manager program prepared and administered by CSI Global Education Inc. and so named on the day this Instrument comes into force, and every program that preceded that program, or succeeded that program, that does not have a significantly reduced scope and content when compared to the scope and content of the first-mentioned program;

  • Investment Client means (i) any investment company registered as such under the Investment Company Act, any series thereof, or any component of such series for which the Adviser acts as investment adviser; or (ii) any private account for which the Adviser acts as investment adviser.

  • Issuer Group is defined in Section 10.02(d).

  • Delaware Trust Assets Purchaser means the Computershare Delaware Trust Company.

  • Controlling Company shall have the meaning set forth in Section 10.02(a) of this Agreement.
