The Bazaar Improvements, the Aladdin Improvements, the Central Energy Plant and the Music Hotel are sometimes hereinafter collectively referred to as the "Redeveloped Aladdin".
The Retail Facility and the Common Parking Area are hereinafter referred to collectively as the "Bazaar Improvements".
Thereafter, pursuant to the terms hereof, the Site will be prepared by the Aladdin Parties with certain Infrastructure Improvements and related work all as specified in the Site Work Plans (collectively, the "Site Work") so as to then permit the development and construction of the Bazaar Improvements by Bazaar Company and the Aladdin Improvements by the Aladdin Parties.

This Guaranty shall automatically terminate, and shall be of no further force or effect, upon the date that the Company first obtains financing for the Bazaar Improvements which does not require a guarantee by either TrizecHahn Centers Inc., a California corporation, or Guarantor, and the Company's lender fully and unconditionally releases all guarantors thereunder.
The Company shall pay to TrizecHahn a financing fee upon closing of the construction loan for the Bazaar Improvements in an amount equal to one percent (1%) of the total amount of the loan, and a fee in an amount equal to one quarter of one percent (.25%) to Westwood Capital LLC.
TrizecHahn and Holdings II will each use reasonable/diligent efforts to obtain the construction financing for the Bazaar Improvements.
Bazaar Company, subject to requirements of applicable laws and regulations, shall use commercially reasonable efforts to cause the Bazaar Improvements, substantially similar in size to the Bazaar Improvements set forth on the Plans and Specifications.
As used herein, the term "SALES COSTS" means any and all third-party costs and/or expenses reasonably expected to be incurred in connection with the sale of the Bazaar Improvements, including, without limitation, brokerage and/or sales commissions, escrow fees, title, documentary and other transfer taxes and the like.
The Parties agree that the Construction of the Aladdin Improvements, the Bazaar Improvements, the Music Hotel, the Central Energy Plant and any Optional Improvements shall be accomplished in accordance with the requirements of the Site Work Agreement and this REA, as applicable.
