Bedford Lease definition

Bedford Lease shall have the meaning set forth in Section 4.9(a).
Bedford Lease means that certain Lease entered into between Bedford AL RE, Ltd., a Texas limited partnership, as landlord, and Bedford Assisted Living, Ltd., a Texas limited partnership, as tenant, dated as of even date with this Master Lease, as amended, modified or revised.
Bedford Lease has the meaning set forth in Section 1.01(c).

Examples of Bedford Lease in a sentence

  • If, at the time of the Closing, the Bedford Lease is in effect, the Seller warrants that it will not have transferred, mortgaged or assigned any interest in such Bedford Lease.

  • Further, assuming the closing of the CAMI Transaction, the Seller warrants that it will not have breached the provisions of the Bedford Lease or be in default under the Bedford Lease (nor will there exist any condition which, upon the passage of time or the giving of notice or both, would cause such a breach or default).

  • Upon the closing of the CAMI Transaction, the Bedford Lease shall be valid, binding and in full force and effect against the Seller, and, to the Seller's knowledge, against the other party thereto in accordance with its terms.

  • The Purchaser shall thereafter occupy the Bedford Facility under the Seller's occupancy rights under the Jabil Rationalization Agreement until the earlier of (A) the closing of the CAMI Transaction (at which point the Seller shall transfer the Bedford Lease to the Purchaser and the Purchaser shall assume the Seller's rights and obligations thereunder) and (B) the termination of the Bedford Sale Agreement (in which case the terms of Section 6.15(c) shall apply).

  • A true and correct copy of such lease is attached hereto as Exhibit L (the "Bedford Lease").

  • Other than the Jabil Rationalization Agreement, the Bedford Sale Agreement and the Bedford Lease (it being understood that the effectiveness of the Bedford Lease is conditional on the closing of the CAMI Transaction), there are no other agreements or arrangements whatsoever relating to the Seller's right to occupy the Bedford Facility.

  • Such absences may be for periods of a quarter of a day, with the appropriate amount of time for the absence being recorded as accrued work time on the employee’s record of attendance and debited to the employee’s leave record maintained by the department.

  • MCI shall indemnify, defend and hold harmless Recipient and all of its shareholders, officers, directors, employees and agents from any Losses (as defined in Article V hereof) caused by the use or occupancy of the Bedford Space hereunder by MCI, any Bedford Retained Employee or any licensee or invitee thereof, including, without limitation, any breach of the Bedford Lease caused thereby.

  • The Bedford Lease shall be assigned to Purchaser provided that Purchaser is able to demonstrate a sufficient net worth to limit Management’s continuing liability under the Bedford Lease in accordance with the terms of such Real Property Lease.

  • The Purchaser shall thereafter occupy the Bedford Facility under the Seller’s occupancy rights under the Jabil Rationalization Agreement until the earlier of (A) the closing of the CAMI Transaction (at which point the Seller shall transfer the Bedford Lease to the Purchaser and the Purchaser shall assume the Seller’s rights and obligations thereunder) and (B) the termination of the Bedford Sale Agreement (in which case the terms of Section 6.15(c) shall apply).

Related to Bedford Lease

  • Ground Lease means a lease creating a leasehold estate in real property where the fee owner as the ground lessor conveys for a term or terms of years its entire interest in the land and buildings and other improvements, if any, comprising the premises demised under such lease to the ground lessee (who may, in certain circumstances, own the building and improvements on the land), subject to the reversionary interest of the ground lessor as fee owner. With respect to any Mortgage Loan where the Mortgage Loan is secured by a Ground Leasehold estate in whole or in part, and the related Mortgage does not also encumber the related lessor’s fee interest in such Mortgaged Property, based upon the terms of the Ground Lease and any estoppel or other agreement received from the ground lessor in favor of Mortgage Loan Seller, its successors and assigns (collectively, the “Ground Lease and Related Documents”), Mortgage Loan Seller represents and warrants that:

  • Sub-Lease means the sub-lease entered into following the approval of an Approved Sub-lease;

  • Operating Lease means, as applied to any Person, any lease (including, without limitation, leases which may be terminated by the lessee at any time) of any Property (whether real, personal or mixed) which is not a Capital Lease other than any such lease in which that Person is the lessor.

  • Space Lease The space or occupancy lease pursuant to which any Borrower holds a leasehold interest in the related Mortgaged Property, together with any estoppels or other agreements executed and delivered by the lessor in favor of the lender under the related Mortgage Loan(s).

  • Co-op Lease With respect to a Co-op Loan, the lease with respect to a dwelling unit occupied by the Mortgagor and relating to the stock allocated to the related dwelling unit.

  • Tenant Lease means any lease entered into by the Borrower, any Loan Party or any Subsidiary with respect to any portion of a Property.

  • Site Lease or “Lease” means the Site Lease of even date herewith, by and between the District and the Lessor together with any duly authorized and executed amendment thereto under which the District leases the Site to the Lessor.

  • Real Property Lease has the meaning set forth in Section 3.9(b).

  • Company Lease means any lease, sublease, sub-sublease, license and other agreement under which the Company or any of its Subsidiaries leases, subleases, licenses, uses or occupies (in each case whether as landlord, tenant, sublandlord, subtenant or by other occupancy arrangement), or has the right to use or occupy, now or in the future, any real property.

  • New Lease Any lease of REO Property entered into on behalf of REMIC I, including any lease renewed or extended on behalf of REMIC I, if REMIC I has the right to renegotiate the terms of such lease.

  • Mining Lease means the mining lease granted pursuant to Clause 12 and includes any renewal thereof and according to the requirements of the context shall describe the area of land demised as well as the instrument by which it is demised;

  • Ground Leases Those certain leases with respect to real property that is a portion of the Leased Property, pursuant to which Landlord is a tenant and which leases have either been approved by Tenant or are in existence as of the date hereof and listed on Schedule A hereto.

  • Residential rental property means property that is used solely as leased or rented property for residential purposes. If the property is a space rental mobile home park, residential rental property includes the rental space that is leased or rented by the owner of that rental space but does not include the mobile home or recreational vehicle that serves as the actual dwelling if the dwelling is owned and occupied by the tenant of the rental space and not by the owner of the rental space.

  • Base Lease means the Base Lease Agreement delivered concurrently with this Lease between the Company and the Issuer.

  • Property Lease means any Depot Lease, any lease in respect of a Managed Station Area, any lease in respect of Shared Facilities or any Station Lease and any agreement or lease of a similar or equivalent nature (whether in respect of any such facility or otherwise) which the Franchisee may enter into with a person who has an interest in a network or a railway facility which is to be used for or in connection with the provision or operation of the Franchise Services;

  • Head Lease or “Superior Lease” means the document which sets out the promises the Landlord has made to the Superior Landlord. The promises contained in this Head Lease will bind the Tenant if he has prior knowledge of those promises.

  • Wet Lease means any arrangement whereby Owner or a Permitted Lessee agrees to furnish the Aircraft, Airframe or any Engine to a third party pursuant to which the Aircraft, Airframe or Engine shall at all times be in the operational control of Owner or a Permitted Lessee, provided that Owner’s obligations under the Trust Indenture shall continue in full force and effect notwithstanding any such arrangement.

  • Lease Agreement means the bargain, with respect to the lease, of the lessor and the lessee in fact as found in their language or by implication from other circumstances including course of dealing or usage of trade or course of performance as provided in this article. Unless the context clearly indicates otherwise, the term includes a sublease agreement.

  • Landlord Agreement means an agreement substantially in the form provided by Lender to Borrower or such other form as Lender may agree to accept.

  • Operating Leases means all real or personal property leases under which any Company is bound or obligated as a lessee or sublessee and which, under GAAP, are not required to be capitalized on a balance sheet of such Company; provided that Operating Leases shall not include any such lease under which any Company is also bound as the lessor or sublessor.

  • Real Estate Leases has the meaning set forth in Section 2.1(d)(ii).

  • Financeable Ground Lease means, a ground lease reasonably satisfactory to the Administrative Agent on behalf of the Lenders, which must provide customary protections for a potential leasehold mortgagee (“Mortgagee”) such as (i) a remaining term, including any optional extension terms exercisable unilaterally by the tenant, of no less than 25 years, (ii) a provision that the ground lease will not be terminated until the Mortgagee has received notice of a default, has had a reasonable opportunity to cure and has failed to do so, (iii) provision for a new lease to the Mortgagee as tenant on the same terms if the ground lease is terminated for any reason, (iv) transferability of the tenant’s interest under the ground lease by the Mortgagee without any requirement for consent of the ground lessor unless based on delivery of customary assignment and assumption agreements from the transferor and transferee, (v) the ability of the tenant to mortgage tenant’s interest under the ground lease without any requirement for consent of the ground lessor and (vi) provisions that the tenant under the ground lease (or the leasehold mortgagee) has customary protections with respect to the application of insurance proceeds or condemnation awards attributable to the tenant’s interest under the ground lease and related improvements.

  • Urban renewal project means undertakings and activities of a municipality in an urban renewal area for the elimination and for the prevention of the development or spread of slums and blight, and may involve slum clearance and redevelopment in an urban renewal area, or rehabilitation or conservation in an urban renewal area, or any combination or part of them in accordance with an urban renewal plan. These undertakings and activities may include:

  • Space Leases means any and all leases, subleases, lettings, licenses, concessions, operating agreements, management agreements, and all other agreements affecting the Trust Estate that Trustor has entered into, taken by assignment, taken subject to, or assumed, or has otherwise become bound by, now or in the future, that give any person the right to conduct its business on, or otherwise use, operate or occupy, all or any portion of the Site or Improvements and any leases, agreements or arrangements permitting anyone to enter upon or use any of the Trust Estate to extract or remove natural resources of any kind, together with all amendments, extensions, and renewals of the foregoing entered into in compliance with this Deed of Trust, together with all rental, occupancy, service, maintenance or any other similar agreements pertaining to use or occupation of, or the rendering of services at the Site, the Improvements or any part thereof.

  • Tenant Leases means leases, subleases, licenses or other use agreements between Seller and tenants with respect to Real Property, if any.

  • Leased Land means land which is the subject of a lease granted under section 60 or 93G; S. 3 def. of "lessee" amended by No. 39/1997 s. 4(2)(b).
