Benchmark Rate Modification definition

Benchmark Rate Modification has the meaning given to it in Condition 13 (Amendments to the Conditions and Benchmark Rate Modification).

Benchmark Rate Modification means any modification to the Conditions of the Class A Notes or any other Transaction Document or any entry into any new, supplemental or additional document that the Management Company or the Alternative Benchmark Rate Determination Agent considers necessary for the purpose of changing the benchmark rate from EURIBOR in respect of the Class A Notes to the Alternative Benchmark Rate and making such other amendments to the Conditions or any other Transaction Document (including for the avoidance of doubt the determination of the Class A Note Rate Maintenance Adjustment) as are necessary in the commercially reasonable judgment of the Management Company and/or the Alternative Benchmark Rate Determination Agent to implement the changes envisaged pursuant to, with respect to the Class A20xx-yy Notes, Condition 9.3 of the Class A20xx-yy Notes Conditions and, as applicable, with respect to the Class A20xx-yy Notes, Condition 11 of the Class A2017-1 Notes Conditions.
Benchmark Rate Modification means any modification to the Conditions or any other Transaction Document or entering into any new, supplemental or additional document that the Issuer considers necessary or advisable for the purpose of changing the benchmark rate from EURIBOR in respect of the Class A Notes to the Alternative Benchmark Rate and making such other amendments to the Conditions or any other Transaction Document as are necessary or advisable in the reasonable judgement of the Issuer or the Servicer to facilitate the changes envisaged pursuant to this Clause 33.5.
Benchmark Rate Modification means any modification to the Terms and Conditions or any other Transaction Document or entering into any new, supplemental or additional document that the Issuer and the Rate Determination Agent consider necessary or advisable for the purpose of changing the benchmark rate from EURIBOR in respect of the Notes to the Alternative Benchmark Rate and making such other amendments to the Terms and Conditions or any other Transaction Document as are necessary or advisable in the reasonable judgment of the Issuer and/or the Rate Determination Agent to facilitate the changes envisaged pursuant to Condition 7.7 (Interest – Fallback Provisions).

Related to Benchmark Rate Modification

  • Major modification means any physical change in or change in the method of operation of a major stationary source that would result in a significant emissions increase of a regulated NSR pollutant and a significant net emissions increase of that pollutant from the major stationary source.

  • Cross-Series Modification means a modification involving (i) the Bonds or any agreement governing the issuance or administration of the Bonds, and (ii) the debt securities of one or more other series or any agreement governing the issuance or administration of such other debt securities.

  • Benchmark Replacement Adjustment means, with respect to any replacement of the then-current Benchmark with an Unadjusted Benchmark Replacement for any applicable Interest Period and Available Tenor for any setting of such Unadjusted Benchmark Replacement:

This definition of “permit modification” shall be used solely for purposes of this chapter governing Title V operating permits.
