BENEFITS ON. Approved" Change in Control. ---------------------------------------- (a) Benefits Effective Upon Change in Control. ----------------------------------------- (i) Subject to Section 4 hereof, in the event an "approved" Change in Control occurs, Executive shall be entitled to all of the rights and compensation set forth in Section 6(a) hereof. (ii) In the event that Executive voluntarily terminates his employment with Sensormatic (other than by resignation contemplated in Section 10 hereof) at any time following an "approved" Change in Control, Executive shall not be entitled to any benefits under this Agreement other than as set forth in Section 7(a)(i) hereof.
