  • BGC Partners agrees to indemnify and hold harmless each member of the Newmark Group and its directors, officers and employees from and against any fine, penalty, or other cost or expense of any kind attributable to a member of the BGC Group having supplied, pursuant to this Section 8, a member of the Newmark Group with inaccurate or incomplete information in connection with a Tax liability.

  • BGC Partners agrees that it will not take or fail to take, or cause or permit any member of the BGC Group to take or fail to take, any action if such action or failure to act would or could reasonably be expected to adversely affect, jeopardize or prevent the Tax-Free Status of the Contribution and Distribution or the Partnership Division Treatment of the Partnership Divisions.

Related to BGC Group

  • Parent Group has the meaning set forth in Section 8.03(c).

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.
