  • The Placement Shares will, upon allotment and issue, rank pari passu in all respects with the existing Bison Shares, except that the Placement Shares will not be entitled to any dividend, right, allotment and/or other distribution that may be declared, made or paid where the entitlement date precedes the date of allotment and issuance of the Placement Shares.

  • Pursuant to Paragraph 6.04(a) of the Main Market Listing Requirements of Bursa Securities (“Listing Requirements”), the Placement Shares may be issued at a discount, if any, of not more than 10% to the 5-day volume weighted average market price (“VWAP”) of Bison Shares immediately preceding the price-fixing date.

  • This Letter of Transmittal duly completed and signed (or an originally signed facsimile or electronic copy thereof) together with accompanying certificates representing the Deposited Bison Shares and all other required documents must be sent or delivered to the Depositary at the addresses set out on the last page of this Letter of Transmittal.

  • The representations and certifications made by the holders of Bison Shares in this Letter of Transmittal will survive the Effective Time.

  • If any of the Deposited Bison Shares are registered in different names on several certificates, it will be necessary to complete, sign and submit as many separate Letters of Transmittal as there are different registrations of such Deposited Bison Shares.

  • If Klondex makes a Share Election and determines to pay all or a portion of the Arrangement Consideration in Klondex Shares, Klondex shall make joint elections with Eligible Holders in respect of the disposition of their Bison Shares for the Arrangement Consideration pursuant to Section 85 of the Tax Act (or any similar provision of any provincial tax legislation) in accordance with the procedures and within the time limits set out in the Plan of Arrangement.

  • The Proposed Bonus Issue shall be capitalised from the share premium and retained earnings account of Bison at RM0.20 per Bonus Share, being the reference to the par value of Bison Shares immediately before the effective date of the Act, pursuant to Section 618(7) of the Act.

  • If no box is checked in Box D, the address shown in Box A will be deemed to be the residential address of the beneficial owner of the Deposited Bison Shares for the purposes of determining such Shareholder's residency for purposes of the Tax Act.

  • The certificates representing the Klondex Shares and/or cheque to be issued in respect of the Deposited Bison Shares will be issued in the name of the person indicated in Box A and delivered to the address indicated in Box A (unless another address has been provided in Box B).

  • Klondex shall use all commercially reasonable best efforts to obtain the approval of the NYSE MKT and the TSX of the listing on the TSX of the Klondex Shares issuable to holders of Bison Shares and the Klondex Shares issuable pursuant to exercises of Replacement Klondex Options and Bison Warrants after the Effective Time.

Related to Bison Shares

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Unit Shares means the Common Shares comprising part of the Units;

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Newco Shares means the common shares in the capital of Newco;

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Acquired Shares has the meaning set forth in the Recitals.

  • Common Shares means the common shares in the capital of the Company;

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Investor Shares shall have the meaning given in the Recitals hereto.

  • Sold Shares shall have the meaning specified in Section 6.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Company Shares has the meaning set forth in the Recitals.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Covered Shares means, with respect to the Shareholder, (i) the Existing Shares, together with (ii) any shares of Common Stock or other voting capital stock of the Company and any securities convertible into or exercisable or exchangeable for shares of Common Stock or other voting capital stock of the Company, in each case under this clause (ii) that such Shareholder acquires Beneficial Ownership of on or after the date hereof.

  • Target Shares means common shares in the capital of Target, as currently constituted;

  • Amalco Shares means common shares in the capital of Amalco;
