BofA Lease definition

BofA Lease means that certain Master Equipment Lease Agreement, dated as of August 6, 2001, by and among Banc of America Leasing & Capital, LLC, any other lessors or creditors thereunder from time to time party thereto and certain of the Loan Parties, including all exhibits, schedules, annexes and assignments in respect thereof, as the same may be amended, amended and restated, restated, supplemented or otherwise modified from time to time.
BofA Lease means that certain Master Lease Agreement, dated as of October 1, 2004, between Borrower and Bank of America, N.A., as the same may be amended, restated, replaced, supplemented or otherwise modified from time to time in accordance with this Agreement.
BofA Lease means the Master Lease Agreement dated as of August 17, 2009 between Banc of America Leasing & Capital, LLC and Xxxxxxxx Brands.

Examples of BofA Lease in a sentence

  • Borrower shall keep and maintain, or cause to be kept and maintained, including by enforcement of the provisions of the BofA Lease, the Property and every part thereof in good condition and repair, subject to ordinary wear and tear, and, subject to Excusable Delays and the provisions of this Agreement with respect to damage or destruction caused by casualty events or Takings, shall not permit or commit any waste, impairment, or deterioration of any portion of the Property in any material respect.

  • Except for any Impositions to be paid directly by Bank of America, N.A. pursuant to the BofA Lease, Borrower shall pay all Impositions now or hereafter levied or assessed or imposed against the Property or any part thereof prior to the imposition of any interest, charges or expenses for the non-payment thereof and shall pay all Other Charges on or before the date they are due.

  • Borrower shall also delivery a projection of the real estate tax contribution of Bank of America, N.A. as additional rent under the BofA Lease during the immediately following fiscal quarter and a description of the Individual Properties to which such tax contribution relates.

  • For the purposes of this Section 10.3 only, Alterations and Material Alterations shall not include tenant improvement alterations, improvements, demolitions or removals undertaken pursuant to a Lease in which the costs thereof are being fully paid out of funds held by Lender in the Reserve Funds or Alterations by Bank of America, N.A. pursuant to the BofA Lease that are permitted to be undertaken by Bank of America, N.A. without the consent of Borrower.

  • On the Closing Date, Borrower shall deposit in the BofA Reserve Fund $6,992,355.00, which amount represents three months of Basic Annual Rent (as such term is defined in the BofA Lease) due under the BofA Lease.

  • In connection with the second Advance, Lenders shall deposit $3,000,000 in the Debt Service Reserve Fund, which amount represents Lender’s estimate of the loan amount attributable to the 39,000 square feet being reduced in connection with the remeasurement of the space subject to the BofA Lease.

  • Lender shall have determined that (x) the Property has an appraised dark value reasonably acceptable to Lender in light of Lender’s loan underwriting assumptions and (y) the initial Principal Amount of the Loan is not more than 70% of each of the acquisition cost of the Property and the fair market value of the Property set forth in an appraisal acceptable to Lender (assuming the BofA Lease is in place).

  • Upon receipt of evidence, satisfactory to Lender in Lender’s reasonable discretion, that the rent for such space subject to the BofA Lease has been increased from $6.72 per square foot to $6.80 per square foot, Lender shall release the $3,000,000 to Borrower.

  • If the Individual Property to be released is subject to the BofA Lease, then the release shall be made in accordance with and subject to the terms of the BofA Lease and such Individual Property shall be released from the BofA Lease and be made subject to a separate lease.

  • For the purposes of this Section 10.3 only, Alterations and Material Alterations shall not include tenant improvement alterations, improvements, demolitions or removals undertaken pursuant to a Lease in which the costs thereof are being fully paid out of funds held by Lender in the TI and Leasing Reserve Account or Alterations by Bank of America, N.A. pursuant to the BofA Lease that are permitted to be undertaken by Bank of America, N.A. without the consent of Borrower.

Related to BofA Lease

  • Ground Lease means a lease creating a leasehold estate in real property where the fee owner as the ground lessor conveys for a term or terms of years its entire interest in the land and buildings and other improvements, if any, comprising the premises demised under such lease to the ground lessee (who may, in certain circumstances, own the building and improvements on the land), subject to the reversionary interest of the ground lessor as fee owner. With respect to any Mortgage Loan where the Mortgage Loan is secured by a Ground Leasehold estate in whole or in part, and the related Mortgage does not also encumber the related lessor’s fee interest in such Mortgaged Property, based upon the terms of the Ground Lease and any estoppel or other agreement received from the ground lessor in favor of Mortgage Loan Seller, its successors and assigns (collectively, the “Ground Lease and Related Documents”), Mortgage Loan Seller represents and warrants that:

  • Sub-Lease means the sub-lease entered into following the approval of an Approved Sub-lease;

  • Space Lease The space or occupancy lease pursuant to which any Borrower holds a leasehold interest in the related Mortgaged Property, together with any estoppels or other agreements executed and delivered by the lessor in favor of the lender under the related Mortgage Loan(s).

  • Operating Lease means, as applied to any Person, any lease (including, without limitation, leases which may be terminated by the lessee at any time) of any Property (whether real, personal or mixed) which is not a Capital Lease other than any such lease in which that Person is the lessor.

  • New Lease Any lease of REO Property entered into on behalf of REMIC I, including any lease renewed or extended on behalf of REMIC I, if REMIC I has the right to renegotiate the terms of such lease.

  • Wet Lease means any arrangement whereby Owner or a Permitted Lessee agrees to furnish the Aircraft, Airframe or any Engine to a third party pursuant to which the Aircraft, Airframe or Engine shall at all times be in the operational control of Owner or a Permitted Lessee, provided that Owner’s obligations under the Trust Indenture shall continue in full force and effect notwithstanding any such arrangement.

  • Master Lease Agreement has the meaning set forth in Section 7.2(c)(xiv).

  • Master Lease This Schedule is issued pursuant to the Lease identified on page 1 of this Schedule.   • Lease Agreement means the bargain, with respect to the lease, of the lessor and the lessee in fact as found in their language or by implication from other circumstances including course of dealing or usage of trade or course of performance as provided in this article. Unless the context clearly indicates otherwise, the term includes a sublease agreement.

  • Co-op Lease With respect to a Co-op Loan, the lease with respect to a dwelling unit occupied by the Mortgagor and relating to the stock allocated to the related dwelling unit.

  • special lease means a special lease or license to be granted in terms of this Agreement under the Ratifying Act the Land Act or the Xxxxxxx Xxx 0000 and includes any renewal thereof; “this Agreement” “hereof” and “hereunder” include this Agreement as from time to time added to varied or amended;

  • Ground Leases Those certain leases with respect to real property that is a portion of the Leased Property, pursuant to which Landlord is a tenant and which leases have either been approved by Tenant or are in existence as of the date hereof and listed on Schedule A hereto.
