Brokerage Agent definition

Brokerage Agent means a person or company as may from time to time be engaged by the Company to perform brokerage services and such other services as may be required pursuant to this Plan, including without limitation the purchase and sale of Shares; “Code”, means the U.S. Internal Revenue Code of 1986, as amended, and the regulations promulgated thereunder;
Brokerage Agent means such person or company as may, from time to time, be appointed or designated by the Administrative Agent and with whom the Administrative Agent shall enter into an agreement to perform brokerage functions in executing the securities transactions and custodial services in respect of the assets under the Plan;

  • The Administrative Agent shall direct the Brokerage Agent to purchase Shares on behalf of the Participants with all Participant Contributions and Employer Contributions on the open market, through the facilities of the Stock Exchange, if applicable, bi-monthly on such dates to be designated by the Company from time to time and if any such day is not a Business Day, on the next succeeding Business Day.
