The Brokerage Agent shall not exercise any voting rights in respect of any Shares for which it has not received voting instructions.
If no direction is received by the Administrative Agent within such time period, the Administrative Agent shall direct the Brokerage Agent to transfer and deliver the Shares in the Participant’s Account to the Participant, the Participant’s beneficiary or the legal representatives of the Participant’s estate, as applicable.
