Buyer Board Recommendation definition

Buyer Board Recommendation has the meaning set forth in Section 5.02(b).

Buyer Board Recommendation has the meaning specified in the Recitals hereto.

Buyer Board Recommendation means the recommendation of the board of directors of Buyer that Buyer’s shareholders approve, at the Buyer Shareholders Meeting, the issuance of the Stock Consideration and the Charter Amendment.

• Buyer shall, through the Buyer Board recommend to its stockholders that they approve the Buyer Stockholder Approval Matters (the “Buyer Board Recommendation”) and shall include the Buyer Board Recommendation in the Proxy Statement.
