Buyer Deed definition

Buyer Deed means with respect to any Underlying REO Property, a duly executed deed or similar instrument in blank, on such Underlying REO Property, which Buyer Deed shall be in recordable form in accordance with applicable state law.
Buyer Deed has the meaning set forth in Section 9(b) hereof.

  • In the event any Purchased Asset becomes an REO Property, the Sellers shall promptly repurchase such Purchased Asset, and simultaneously convey a Buyer Deed, to the Buyer in accordance with the provisions below if such REO Property will be subject to a Transaction under this Agreement.

  • To the extent the fair market value of the Collateral is less than the total outstanding balance of all the Buyer Deed of Trust Notes, then the Collateral will be deemed to only secure those Buyer Deed of Trust Notes with an aggregate outstanding balance that is less than or equal to the fair market value of the Collateral, applied in numerical order of the Buyer Deed of Trust Notes.

  • Tax Deed means a tax deed prepared under section 379 and includes the title conferred by the registration of the tax deed.

  • Seller Documents has the meaning set forth in Section 3.2.

  • The Vendor means the person, firm, company or organization on whom the Purchase Order is placed and shall be deemed to include the vendor’s successors, representative heirs, executors and administrator as the case may be. It may also be referred to as Seller, Contractor or Supplier.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Purchaser Parent has the meaning set forth in the Preamble.

  • Purchaser’s Group means the Purchaser, its subsidiaries and subsidiary undertakings, any holding company of the Purchaser and all other subsidiaries of any such holding company from time to time;

  • Ancillary Document has the meaning assigned to it in Section 9.06(b).

  • Purchaser Documents has the meaning set forth in Section 6.2.

  • Seller’s Closing Documents as defined in Section 3.2(a).

  • Ancillary Documents means each agreement, instrument or document attached hereto as an Exhibit, and the other agreements, certificates and instruments to be executed or delivered by any of the Parties hereto in connection with or pursuant to this Agreement.

  • Bareboat Charter means the bareboat charter agreement to be executed by the Effective Date by the Borrower as owner and the Charterer as bareboat charterer.

  • Project Buyer means the City’s employee assigned to serve as the contact person for Bidders/Sellers responding to Invitations For Bid or completing contracts herein.

  • Buyer’s Solicitors means Xxxxxx Xxxxxxx LLP of 0 Xxx Xxxxxx Xxxxxx, Xxxxxx XX0X 0XX;

  • Seller Ancillary Agreements means all agreements, instruments and documents being or to be executed and delivered by Seller under this Agreement or in connection herewith.

  • Seller Ancillary Documents means any certificate, agreement, document or other instrument, other than this Agreement, to be executed and delivered by the Seller or any Affiliate of the Seller in connection with the transactions contemplated hereby, including, but not limited to the Transaction Documents.

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • Plant closing means the closing of a plant site or other corporate location that directly results in termination of the Grantee’s Service.
