The Buyer is a public company and represents that, except as disclosed in the Buyer Disclosure Documents and in Buyer Financials, it has no existing or threatened liabilities, claims, lawsuits, or basis for the same with respect to its original stock issuance to its founders, its initial public offering, any other issuance of stock, or any dealings with its stockholders, the public, the brokerage community, the SEC, any state regulatory agencies, or other persons.
The main hedging instruments used are forward exchange transactions and currency options.
The quarterly financial statements and such Annual Reports, and all other information included in such reports, shall be referred to as the "Buyer Financials".
