Buyer Financials definition

Buyer Financials means Buyer’s (i) audited consolidated balance sheets, statements of income, stockholders’ equity, and cash flows as of and for the fiscal years ended December 31, 2019 and December 31, 2020; and (ii) unaudited consolidated balance sheets, statements of income, stockholders’ equity, and cash flows as of and for the six (6) month period ended June 30, 2021.

Buyer Financials shall have the meaning set forth in Section 2.4(a).

Buyer Financials is defined in Section 5.11.

Examples of Buyer Financials in a sentence

• The quarterly financial statements and such Annual Reports, and all other information included in such reports, shall be referred to as the "Buyer Financials".

• Except as indicated in the Buyer Financials or the Buyer Disclosure Documents, there exists no default under the provisions of any instrument evidencing such indebtedness or of any agreement relating thereto.

• The Buyer Financial Statements reflect an adequate reserve for all unpaid Taxes that may be payable by Buyer for all taxable periods and portions thereof through the date of such financial statements in accordance with GAAP and the unpaid Taxes of Buyer do not exceed the reserve for Taxes in the 2010 Buyer Financials as adjusted for the passage of time through the Closing Date in accordance with the past custom and practice of Buyer in filing its Tax returns.

• To the best of the Buyer's knowledge and belief, except as disclosed in the Buyer Financials, it has not materially breached, nor has it any knowledge of any pending or threatened claims or any legal basis for a claim that it has materially breached, any of the terms or conditions of any agreements, contracts, or commitments to which it is a party or is bound and which might give rise to a claim by anyone against the Buyer Shares.

• Buyer has no current intention to correct or restate, and to the knowledge of Buyer, there is not any basis to correct or restate any of Buyer Financials.

• Buyer does not have any material obligation, expense, claim, deficiency, guaranty or endorsement of any type, whether accrued, absolute, contingent, matured, unmatured or other (whether or not required to be reflected in financial statements in accordance with GAAP), which individually or in the aggregate (a) has not been reflected in the Buyer Financials, or (b) has not arisen in the ordinary course of business consistent with past practices since August 31, 2005.

• The Buyer Financials present fairly the financial condition and operating results of the Buyer as of the dates and during the periods indicated therein, subject to normal year-end adjustments, which will not be material in amount or significance in the aggregate.

• All of the Buyer Financials have been prepared in accordance with GAAP applied on a consistent basis throughout the periods involved (except that such financial statements for the period ending March 31, 2003 are subject to customary year-end audit adjustments, none of which shall, individually or in the aggregate, be material) and fairly present in all material respects the financial position and the results of operations of the Buyer for the periods covered thereby.

• The SEC Documents contain an audited balance sheet of Buyer as of December 31, 1999 and the related audited statements of operations and cash flow for the year then ended, an unaudited consolidated balance sheet of Buyer as of March 31, 2000 (the "Buyer Balance Sheet") and the related unaudited consolidated ------------------- statements of operations and cash flow for the quarter then ended (collectively, the "Buyer Financials").
