Examples of Buyer Governmental Approvals in a sentence
Except for Buyer Governmental Approvals listed in Appendix E, to Buyer’s knowledge, Buyer is not required, and under existing Applicable Law, will not in the future be required, to obtain any Governmental Approval in connection with the execution and delivery by Buyer of this Agreement or the performance of its obligations hereunder, the failure to obtain which would materially impair Buyer’s performance of its obligations hereunder.
Seller shall have primary responsibility for directing and implementing the general strategy under this Section 5.7 for obtaining the Seller Governmental Approvals, and Buyer shall have primary responsibility for directing and implementing the general strategy under this Section 5.7 for obtaining the Buyer Governmental Approvals or the expiration or termination of any applicable waiting period necessary to consummate the transactions contemplated by this Agreement.
All nonpublic information provided to, or obtained by, Buyer or its Representatives in connection with the transactions contemplated hereby shall be "Confidential Information" for purposes of the Confidentiality Agreement dated February 19, 2004 between Buyer and Seller (the "CONFIDENTIALITY AGREEMENT"), the terms of which shall continue in force until the Closing; provided, however, that Buyer may disclose such information as may be necessary in connection with seeking the Buyer Governmental Approvals.
Buyer shall have obtained and shall have delivered to Sellers copies of all Required Buyer Governmental Approvals in connection with the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby.

Buyer shall be liable for all costs and expenses incurred in connection with obtaining the Buyer Governmental Approvals and Buyer Third Party Consents.

Buyer is not aware of any matter which might cause any of the Buyer Governmental Approvals not to be obtained or might cause such approval to include the imposition of any Substantial Detriment.
