Cabela Family definition

Cabela Family means the class composed of Richard Cabela and James Cabela, their respective spouses and lineal descendants, any trust established for the benefit of any one or more of said persons and any entity where 50% or more of the combined voting power is owned by any one or more of said persons.

  • The representations and warranties of each Cabela Family Seller contained in Article 3 and the representations and warranties of the Company contained in Article 4 shall survive the Closing and remain in full force and effect without time limit; provided, however, that the representations and warranties of each Cabela Family Seller in Section 3.6 shall survive the Closing until the first anniversary date of this Agreement.

  • Other than this Agreement and the Documents (as defined in the Stock Purchase Agreement) to be entered into on the Closing Date, there are no agreements between such Cabela Family Seller and any other Person with respect to voting of, or any other matters pertaining to, the capital stock of the Company.

  • This Agreement has been duly and validly executed and delivered by such Cabela Family Seller and this Agreement is the valid and binding obligation of such Cabela Family Seller, enforceable against such Cabela Family Seller in accordance with its terms, except as enforceability thereof may be limited by any applicable bankruptcy, reorganization, insolvency or other laws affecting creditors rights generally and by general principles of equity.

  • Each Cabela Family Seller shall have received duly executed copies of all consents and approvals, in form and substance satisfactory to each Cabela Family Seller, that are (i) required for consummation of the transactions contemplated hereby by the Company or (ii) that are required in order to prevent a breach of or default under or a termination of any material agreement to which the Company is a party.

  • Each Cabela Family Seller acknowledges that the Company has not made any representations to such Cabela Family Seller regarding the value of the Common Shares.

  • Upon the terms and subject to the conditions set forth herein, at the Closing the Cabela Family Sellers shall sell to the Company, and the Company shall redeem and purchase from the Cabela Family Sellers, an aggregate amount of 2,976,190 shares of Common Stock (the “Common Shares”).

  • Such Cabela Family Seller does not currently possess any, and hereby waives any and all future, rights of action, suits, claims or proceedings at law or in equity against the Company relating to the Common Shares and such Cabela Family Seller is not aware of any basis for any pending or threatened action, suit, claim or proceeding against the Company relating to the Common Shares.

  • The Company has given each Cabela Family Seller the opportunity to receive all information necessary and the opportunity to ask such questions of and receive answers to such questions from the Company as deemed necessary by such Cabela Family Seller in order to evaluate the fairness of the terms of this Agreement.

  • The Company and each Cabela Family Seller shall each duly execute and deliver, or cause to be duly executed and delivered, at its own cost and expense, such further instruments and documents and take all such action, in each case as may be necessary or proper to carry out the provisions and purposes of this Agreement.

  • Brand family means all styles of Cigarettes sold under the same trade mark and differentiated from one another by means of additional modifiers or descriptors, including, but not limited to, “menthol,” “lights,” “kings,” and “100s,” and includes any brand name (alone or in conjunction with any other word), trademark, logo, symbol, motto, selling message, recognizable pattern of colors, or any other indicia of product identification identical or similar to, or identifiable with, a previously known brand of Cigarettes.

  • Immediate family means a spouse and any unemancipated child.

  • Associates has the meaning ascribed to it under the Listing Rules

  • Foster family home means a private home in which children are placed for foster family care under supervision of the cabinet or a licensed child-placing agency;

  • Residence employee means a person employed by you to perform duties in connection with the maintenance or use of the insured premises. This includes persons who perform household or domestic services or duties of a similar nature for you. This does not include persons while performing duties in connection with your business.

  • Host family means the individual or family with whom an international exchange student is placed by an international student exchange visitor placement organization under the International Student Exchange Visitor Placement Organization Registration Act, § 6-18-1701 et seq..

  • Family or “family member” means your spouse, and any child, stepchild, parent, or parent-in-law who receives more than one-half of his or her support from you or from whom you receive more than one-half of your support.

  • Multi-family housing means a building or structure that is designed to house two (2) or more different households in separate housing Units which have full kitchen facilities including oven/range, refrigerator, kitchen sink with hot and cold water supply and food storage facilities and at least one (1) full bathroom facility(s), one (1) full bedroom and one (1) living area (including a combination thereof such as studio arrangements).

  • Participating Corporation means any Parent, Subsidiary or Affiliate that the Committee designates from time to time as eligible to participate in this Plan. For purposes of the Section 423 Component, only the Parent and Subsidiaries may be Participating Corporations, provided, however, that at any given time a Parent or Subsidiary that is a Participating Corporation under the Section 423 Component shall not be a Participating Corporation under the Non-Section 423 Component. The Committee may provide that any Participating Corporation shall only be eligible to participate in the Non-Section 423 Component.

  • Alaska Native Corporation (ANC) means any Regional Corporation, Village Corporation, Urban Corporation, or Group Corporation organized under the laws of the State of Alaska in accordance with the Alaska Native Claims Settlement Act, as amended (43 U.S.C. 1601, et seq.) and which is considered a minority and economically disadvantaged concern under the criteria at 43 U.S.C. 1626(e)(1). This definition also includes ANC direct and indirect subsidiary corporations, joint ventures, and partnerships that meet the requirements of 43 U.S.C. 1626(e)(2).

  • MCH means the Maternal and Child Health Service provided by a council to support the health and development of children within the municipality from birth until school age

  • School Corporation means the Western Xxxxx County Community School Corporation of the County of Xxxxx of the State of Indiana;

  • Equity Holder means any Person that owns the Equity Interests in any Practice that is a party to any Management Agreement.

  • Member of the Immediate Family means, with respect to any Person who is an individual, (a) each parent, spouse (but not including a former spouse or a spouse from whom such Person is legally separated) or child (including those adopted) of such individual and (b) each trustee, solely in his or her capacity as trustee, for a trust naming only one or more of the Persons listed in sub-clause (a) as beneficiaries.

  • COAH means the Council on Affordable Housing, which is in, but not of, the Department of Community Affairs of the State of New Jersey, that was established under the New Jersey Fair Housing Act (N.J.S.A. 52:27D-301 et seq.).

  • Engine family means a manufacturers grouping of engines which, through their design as defined in paragraph 5.2. of this gtr, have similar exhaust emission characteristics; all members of the family shall comply with the applicable emission limit values.

  • Black woman-owned enterprise means an enterprise with at least 25, 1% representation of black women within the black equity and management portion.

  • Members of the Immediate Family means with respect to any individual, each parent (whether by birth or adoption), spouse, or child or other descendants (whether by birth or adoption) of such individual, each spouse of any of the aforementioned Persons, each trust created solely for the benefit of such individual and/or one or more of the aforementioned Persons, and each legal representative of such individual or of any aforementioned Persons (including without limitation a tutor, curator, mandatary due to incapacity, custodian, guardian or testamentary executor), acting in such capacity under the authority of the law, an order from a competent tribunal, a will or a mandate in case of incapacity or similar instrument. For the purposes of this definition, a Person shall be considered the spouse of an individual if such Person is legally married to such individual, lives in a civil union with such individual or is the common law partner (as defined in the Income Tax Act (Canada) as amended from time to time) of such individual. A Person who was the spouse of an individual within the meaning of this paragraph immediately before the death of such individual shall continue to be considered a spouse of such individual after the death of such individual;
