Cash Element definition

Cash Element means an amount equal to One Hundred Million Dollars ($100,000,000), which amount is subject to allocations, prorations and adjustments set forth in the Agreement, including without limitation, Section 2.06 thereof. Prior to Closing Playa capitalized Playa Newco with the Stock Consideration and the Cash Element. The Cash Element was funded in the following manner: Ninety Five Million Dollars ($95,000,000) was funded into a bank account at Scotia Bank held under the name of Playa Newco, (ii) Five Million Dollars ($5,000,000) was funded in escrow (the “Closing Escrow”) to Playa H&R Holdings B.V.
