Cash Element definition

Cash Element means that discretionary managed part of the Portfolio which includes the Cash Account, and the Liquidity Fund, with the aim of providing access to capital.
Cash Element means an amount equal to One Hundred Million Dollars ($100,000,000), which amount is subject to allocations, prorations and adjustments set forth in the Agreement, including without limitation, Section 2.06 thereof. Prior to Closing Playa capitalized Playa Newco with the Stock Consideration and the Cash Element. Cash Element has the meaning given in clause 3.1.1.
