Settlement (in cash and/or shares) will occur on the third Business Day following the final day of such Cash Settlement Period.
If a Holder tenders Securities for conversion and the Conversion Value is being determined at a time when the Securities are convertible into other property (the “ Exchange Property”) in addition to, or in lieu of, Common Stock, the Conversion Value of each Security and the Daily Share Amount shall be determined based on the value thereof during the Cash Settlement Period.
