Cash Settlement Period definition

Cash Settlement Period means the period commencing on (and including) the Exercise Date to (but excluding) the Settlement Date.
Cash Settlement Period means the period commencing on the earlier of December 26, 2022 and the date a Major Transaction Notice is delivered (or is required to be delivered) in respect of a Major Transaction and ending upon the termination of the Authorized Share Conversion Restriction Period.

The Company shall deliver a notice to the Trustee and the Conversion Agent prior to the commencement and upon the expiration of the Cash Settlement Period.

  • Settlement (in cash and/or shares) will occur on the third Business Day following the final day of such Cash Settlement Period.

  • If a Holder tenders Securities for conversion and the Conversion Value is being determined at a time when the Securities are convertible into other property (the “ Exchange Property”) in addition to, or in lieu of, Common Stock, the Conversion Value of each Security and the Daily Share Amount shall be determined based on the value thereof during the Cash Settlement Period.

More Definitions of Cash Settlement Period

Cash Settlement Period means, (i) with respect to any Conversion Date occurring on or after the twenty-second (22nd) Business Day immediately preceding the Maturity Date, the twenty (20) consecutive Trading Day period beginning on, and including, the twenty-second (22nd) Business Day immediately preceding the Maturity Date; or (ii) in all other cases, the twenty (20) consecutive Trading Day period beginning on, and including, the third (3rd) Business Day immediately following the relevant Conversion Date.

Cash Settlement Period means, (i) subject to clause (ii), with respect to any Conversion Date occurring on or after the forty-second (42nd) Business Day immediately preceding the Maturity Date, the forty (40) consecutive Trading Day period beginning on, andincluding, the forty-second (42nd) Business Day immediately preceding the Maturity Date; (ii) if the relevant Conversion Date occurs on or after the date of the Company’s issuance of a notice of redemption with respect to the Notes under Section 4.03 and prior to the relevant Redemption Date, the forty (40) consecutive Trading Days beginning on, and including, the forty-second (42nd) Trading Day immediately preceding such Redemption Date; or (iii) in all other cases, the forty (40) consecutive Trading Day period beginning on, and including, the third (3rd) Business Day immediately following the relevant Conversion Date.
Cash Settlement Period with respect to any Securities means the 10 consecutive Trading Days beginning on the second Trading Day after delivery of a written notice of conversion (a "CONVERSION NOTICE") to the Conversion Agent; PROVIDED that if a Holder elects to convert its Securities pursuant to Section 10.01(c) and is entitled to Additional Shares pursuant to Section 10.01(d), the "Cash Settlement Period" shall be the five consecutive Trading Days prior to but not including the Effective Date.
