Within 30 days of the date hereof, Holdings shall prepare and deliver to CCI a list of retransmission consent agreements with respect to the CATV Business.
For a period of up to 150 days after the Closing, Holdings shall cause existing arrangements for billing services in respect of the CATV Business to be continued for the benefit of CCI, and CCI shall pay all costs of Holdings in performing such services.
To Seller's knowledge and other than as set forth on Schedule 3.17, none of such customers or suppliers intends to cancel, terminate, not renew, or discontinue providing goods or services to or placing orders with the CATV Business.
Except for this Agreement, there is no agreement, judgment, injunction, order or decree materially affecting Seller's or a Subsidiary's conduct of the CATV Business as currently conducted.

Except as set forth on Schedule 3.6, there are no material Governmental Permits necessary for or used by Seller or a Subsidiary to operate the CATV Business as now being operated or to use or occupy the Leased Premises, which Governmental Permits are required by currently effective Laws.
The Inventory is, and as of the Closing Date, will be, of quality and quantity usable or saleable in the ordinary course of the CATV Business, except in each case for obsolete items and items of below-standard quality that have been written down to estimated net realizable value in accordance with GAAP.
Schedule 3.17 contains a list setting forth the ten (10) largest customers of the CATV Business, by dollar amount, over each of the 12-month periods ended September 30, 2002, 2001 and 2000.
Seller or one of its Subsidiaries owns, holds or possesses in their own name, all Governmental Permits necessary to own or lease, operate and use the Purchased Assets or own, use or occupy the Leased Premises and to carry on and conduct the CATV Business and its operations as presently conducted, except for such Governmental Permits, the absence of which, individually or in the aggregate, has not had and could not reasonably be expected to have a Seller Material Adverse Effect.
