Certain Funds Utilisation definition

Certain Funds Utilisation means a Term Loan or Revolving Loan made or to be made under a Facility during the Certain Funds Period where such Loan is to be made solely for an Acquisition Purpose.

Certain Funds Utilisation means a Utilisation made or to be made during the Certain Funds Period (including for the avoidance of doubt, any Pre-Funding Loan).

• The Purchaser warrants that (i) the only terms and conditions which have been redacted in such copies are those which are not in any way pertaining to the availability of a Certain Funds Utilisation, and (ii) except for the Acquisition Facility Agreements, no Acquisition Finance Document or other agreement contains any terms or conditions which would reasonably be expected to adversely impact the availability of a Certain Funds Utilisation under any of the Acquisition Facility Agreements.

• No Borrower (nor the Parent Company) may deliver a Utilisation Request in respect of a Certain Funds Utilisation unless the Facility Agent has received all of the documents and other evidence listed in Part II of Schedule 2 (Conditions precedent) in form and substance satisfactory to the Facility Agent acting reasonably.

More Definitions of Certain Funds Utilisation

Certain Funds Utilisation means a Loan made or to be made under Facility A during the Certain Funds Period where such Loan is to be made solely for any of the purposes set out in paragraph (a) of Clause 4.1 (Purpose).

"Debt Proceeds" means the cash proceeds receivable by any member of the Group upon the incurrence by any member of the Group of any Financial Indebtedness falling within the terms of paragraphs (e) and (i) of sub-clause 28.8.2, after, in each case, deducting expenses incurred by any member of the Group with respect to that incurrence.
