The City’s execution of the Certificate of Full Completion will constitute evidence of the satisfaction of the Developer’s agreements and covenants to construct the Project.
The Certificate of Full Completion shall be deemed accepted by the City unless, prior to the end of such 30-day period after delivery, the City furnishes the Developer with specific written objections, describing such objections and the measures required to correct such objections in reasonable detail.
The City will, within thirty (30) days following delivery of the Certificate of Full Completion, carry out such inspections as it deems necessary to verify to its reasonable satisfaction the accuracy of the certifications contained in the Certificate of Full Completion.
In addition to any rights of the City to restrict access to the skywalk under the Skywalk Agreement or the Parking Agreement, the City, in its sole discretion, may block access to the skywalk from the Parking Structure if: (a) the City does not accept the Certificate of Full Completion; (b) the City and the Developer do not enter into the Parking Agreement; or (c) the Parking Agreement is terminated.
Notwithstanding the foregoing, the City will not consider any Certificate of CID Expenditure filed prior to the date the Certificate of Full Completion has been delivered to and accepted by the City for each Principal Component.

For a period of three (3) years following the City’s acceptance of a Certificate of Full Completion of for all Principal Components of the Project, the Developer or approved assignees shall present to the City a written description of potential retailer or restaurant tenants to be located within the Project which are relocating from a site within the Restricted Area.
Such Certificate of Eligible Project Costs shall (i) be submitted to the City no earlier than the date the City executes the Certificate of Full Completion for the Project, and (ii) include all Eligible Project Costs incurred by such Developer related to the Project.
The City shall, within ten (10) days following delivery of the Certificate of Full Completion, carry out such inspections as it deems necessary to verify to its reasonable satisfaction the accuracy of the certifications contained in the Certificate of Full Completion.
