Critical Technologies shall have the meaning set forth in the DPA and CFIUS Regulations.
None of the Company or any of its Subsidiaries produces, designs, tests, manufactures, fabricates, or develops one or more “critical technologies”, as that term is defined in § 800.215 of the CFIUS Regulations.
It is neither (a) a foreign national, foreign government, or foreign entity, nor (b) an entity over which control is exercised or exercisable by a foreign national, foreign government, or foreign entity under the CFIUS Regulations.
The General Partner shall be held harmless for any of its acts and omissions in connection with the enforcement of the provisions of this paragraph 8.7, and neither the Partnership nor any Indemnified Party shall be liable to the Foreign Person Limited Partner or to any other Partner in connection with: (i) any determination of Foreign Person status; or (ii) any other matter related to the DPA or CFIUS Regulations.
CFIUS Regulations shall mean the DPA, including as amended and/or supplemented by FIRRMA, and the rules and regulations promulgated under the DPA and FIRRMA.
