Change of Control Exercise Notice definition

Change of Control Exercise Notice has the meaning given to it in Condition 8(c); “Change of Control Notice” has the meaning given to it in Condition 8(c);

Change of Control Exercise Notice means a notice substantially in the form set out in Schedule 2 (Form of Change of Control Exercise Notice) to the Purchase Undertaking;

• Any Change of Control Exercise Notice given by a Holder of any Certificates pursuant to this Condition8.5 shall be irrevocable except where, prior to the due date for redemption in accordance with this Condition 8.5, a Dissolution Event has occurred and the Delegate has declared the Certificates due and payable pursuant to Condition 12 (Dissolution Events), in which event such Change of Control Exercise Notice shall be deemed void.

• To elect to redeem all or any of its Certificates in accordance with this Condition 8(c), a Certificateholder must deposit its Certificate(s) with the Registrar or any Transfer Agent at its specified office, together with a duly completed change of control put right exercise notice (a Change of Control Exercise Notice) in the form obtainable from any Paying Agent, the Registrar or any Transfer Agent (as applicable).

• The Certificateholders' put option in Condition 8(c) of the Certificates may be exercised by the holder of the Global Certificate giving Change of Control Exercise Notice to the Registrar or Paying and Transfer Agent of the face amount of Certificates in respect of which the option is exercised and presenting the Global Certificate within the time limits specified in Condition 8(c).

• The Agent to which any Certificate(s) and Change of Control Exercise Notice are delivered will issue to the holder concerned a non-transferable receipt (a “Change of Control Exercise Notice Receipt”).

• Each new Certificate to be issued pursuant to Conditions 3(a) or(b) shall be available for delivery within three business days of receipt of the form of transfer, Certificateholder Put Exercise Notice or Change of Control Exercise Notice and surrender of the Certificate for exchange.
