City Payments definition

City Payments means the payments to be made by the City in each year during the Agreement Term consisting of (i) the Base Rental Payments as set forth in Exhibit C hereto, as provided in Section 4.6 hereof, and (ii) the Event Day Tax Revenues Reimbursement Amounts, as provided in Section 4.6 hereof.
City Payments means the payments of the City described in Section 3.2.

  • Each invoice shall document, to the reasonable satisfaction of the City: confirmation that the Company has complied with required preconditions to be eligible for the City Payments, including such additional information as may be reasonably requested by the City.

  • Unless the City waives such Section 3.3 requirement in writing, failure of the Company to comply with this Section 3.3 shall release the City of its obligation to make any further City Payment otherwise required and shall allow the City to seek reimbursement for all City Payment made as of the date of non-compliance by the Company of this Section 3.3 in an amount equal to the City Payment(s) made to the Company for the year(s) during which such ad valorem property tax exemption applied.

  • The Company may invoice the City annually for each City Payments Year 2 through Year 15 beginning on the 1st anniversary of the Company’s receipt of the Year 1 City Payment.

  • The City shall have no power to suspend City Payments due to failures of contractors and subcontractors with whom the Company does not have a direct contractual relationship to comply with the terms of contracts to which the Company is not a party.

  • All City Payments shall be deposited by the Trustee in accordance with the provisions of the City Indenture and shall be used and applied by the Trustee in the manner and for the purposes set forth in the City Indenture.

City Payments means the payment or payments by the City to the Company as described in Article VI hereof.
City Payments means and refer to the annual payments to be determined and made pursuant to Section 3.4.

City Payments means the amounts due the City from the AUTHORITY pursuant to the City Use Agreement including City Use Payments as defined in the Master Trust Indenture which are payable on a parity basis with the Bonds issued under the Master Trust Indenture, plus any amount charged as part of the Authority Requirement in any Rate Period by the AUTHORITY to recover the principal plus implicit interest on amounts paid by the AUTHORITY to the City for acquisition of the Airports or other City assets made in compliance with all applicable federal regulations, laws and grant assurances.
City Payments means each and every City Payment, collectively.
City Payments is defined in Section 3(a).

No such amendment or change shall constitute a Change in Tax Law unless the same would in the opinion of the Company (which shall be evidenced by an Officer’s Certificate of the Company and supported by a written opinion of counsel having recognized expertise in the field of taxation in the Taxing Jurisdiction, both of which shall be delivered to all holders of the Notes prior to or concurrently with the Tax Prepayment Notice in respect of such Change in Tax Law) affect the deduction or require the withholding of any Tax imposed by such Taxing Jurisdiction on any payment payable on the Notes.

  • Indemnity Payment shall have the meaning set forth in Section 4.4(a).

  • Overpayments as used in this Section include payments (i) made by the System Agency that exceed the maximum allowable rates; (ii) that are not allowed under applicable laws, rules, or regulations; or (iii) that are otherwise inconsistent with this Grant Agreement, including any unapproved expenditures. Xxxxxxx understands and agrees that it shall be liable to the System Agency for any costs disallowed pursuant to financial and compliance audit(s) of funds received under this Grant Agreement. Xxxxxxx further understands and agrees that reimbursement of such disallowed costs shall be paid by Grantee from funds which were not provided or otherwise made available to Grantee under this Grant Agreement.

  • Progress Payments County shall make periodic progress payments consist with the Contract Price on the basis of Contractor's Applications for Payments, as provided in paragraph 5.2.1 below. (Payment pursuant to this Contract shall be made as earned, in whole or in part, from available County funds in an amount not to exceed the contract amount.) 5.2.1 Prior to Contract Completion, unless terminated prior to Completion, progress payments shall occur in an amount equal to:

  • Volumetric Production Payments means production payment obligations recorded as deferred revenue in accordance with GAAP, together with all undertakings and obligations in connection therewith.
