Class A-1 Bond definition

Class A-1 Bond. Any of the Bonds with a "Class A-1" designation on the face thereof, executed by the Issuer and authenticated by the Indenture Trustee substantially in the form of Exhibit A-1 attached to the Indenture.
Class A-1 Bond. Any of the Bonds issued hereunder and designated as such.

Examples of Class A-1 Bond in a sentence

  • Any reduction in the principal amount of this Class A-1 Bond (or any one or more Predecessor Bonds) effected by any payments made on any Payment Date shall be binding upon all future Holders of this Class A-1 Bond and of any Bond issued upon the registration of transfer hereof or in exchange hereof or in lieu hereof, whether or not noted hereon.

  • Such checks shall be mailed to the Person entitled thereto at the address of such Person as it appears on the Register as of the applicable Record Date without requiring that this Class A-1 Bond be submitted for notation of payment.

  • All terms used in this Class A-1 Bond that are defined in the Indenture shall have the meanings assigned to them in the Indenture.

  • This Class A-1 Bond does not purport to summarize the Indenture and reference is made to the Indenture for information with respect to the interests, rights, benefits, obligations, proceeds, and duties evidenced hereby.

  • On the Interest Determination Date, the Bond Administrator, on behalf of the Indenture Trustee, shall determine One-Month LIBOR and as soon as practical thereafter shall determine the Class A-1 Bond Interest Rate and the Class A-2 Bond Interest Rate for the Interest Period following such Interest Determination Date and shall inform the Issuer and, the Servicer at their respective facsimile numbers given to the Bond Administrator in writing thereof.

  • All computations of interest accrued on any Class A-1 Bond shall be made on the basis of a 360-day year and the actual number of days elapsed in the Interest Accrual Period.

  • Beneficial Owners will hold interests in the Bonds through the book-entry facilities of the Depository in minimum initial Class A-1 Bond Principal Balances or Class A-2 Bond Principal Balances of $25,000 and integral multiples of $1 in excess thereof.

  • Any such waiver by the Holder, at the time of the giving thereof, of this Class A-1 Bond (or any one or more predecessor Class A-1 Bonds) shall bind the Holder of every Class A-1 Bond issued upon the registration of transfer hereof or in exchange hereof or in lieu hereof, whether or not notation of such consent or waiver is made upon such Class A-1 Bond.

  • Interest on this Class A-1 Bond will accrue for each Payment Date from the most recent Payment Date on which interest has been paid to but excluding such Payment Date or, if no interest has yet been paid, from January __, 2002.

  • Upon surrender for registration of transfer of, or presentation of a written instrument of transfer for, this Class A-1 Bond at the Corporate Trust Office, accompanied by proper instruments of assignment in form satisfactory to the Indenture Trustee, one or more new Class A-1 Bonds of any authorized denominations and of a like aggregate initial Class A-1 Bond Principal Balance will be issued to the designated transferee or transferees.

Related to Class A-1 Bond

  • Class A-1 Note means any of 5.604% Asset Backed Notes, Class A‑1, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class A-1 Notes means the Class A-1 1.28000% Asset-Backed Notes, substantially in the form of Exhibit A-1 to the Indenture.

  • Class A-2-A Notes has the meaning assigned to such term in the Indenture.

  • Class A-2 Notes means the Class A-2a Notes and the Class A-2b Notes, collectively.

  • Class A-1 Note Balance means, at any time, the Initial Class A-1 Note Balance reduced by all payments of principal made prior to such time on the Class A-1 Notes.

  • Class A-5 Notes means the $_________ Floating Rate Class A-5 Student Loan Asset-Backed Notes issued by the Trust pursuant to the Indenture, substantially in the form of Exhibit A thereto.

  • Class A-2 Note means any of the 0.51% Asset Backed Notes, Class A-2, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class A-2-A Interest Rate means [ ]% per annum (computed on the basis of a 360-day year of twelve 30-day months).

  • Class A-2a Notes means the Class A-2a 0.55% Asset-Backed Notes, substantially in the form of Exhibit A-2a to the Indenture.

  • Class A-1 Noteholder means the Person in whose name a Class A-1 Note is registered on the Note Register.

  • Class A-1 Note Rate means, with respect to any Quarterly Interest Period, the interest rate per annum (computed on the basis of the actual number of days in such Quarterly Interest Period over a year of 360 days) equal to Three-Month LIBOR for the related LIBOR Reset Period plus 0.08%.

  • Class A-1 Interest Rate means 0.48000% per annum (computed on the basis of the actual number of days elapsed during the applicable Interest Period, but assuming a 360-day year).

  • Class A-1 Noteholders Interest Carryover Shortfall” means, with respect to any Payment Date, the excess of the Class A-1 Noteholders’ Monthly Accrued Interest for the preceding Payment Date and any outstanding Class A-1 Noteholders’ Interest Carryover Shortfall on such preceding Payment Date, over the amount in respect of interest that is actually paid to Holders of Class A-1 Notes on such preceding Payment Date, plus interest on the amount of interest due but not paid to Holders of Class A-1 Notes on the preceding Payment Date, to the extent permitted by law, at the Class A-1 Interest Rate for the related Interest Period.

  • Class A-3 Interest Rate means [ ]% per annum (computed on the basis of a 360-day year of twelve 30-day months).

  • Class A-2-B Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-2-B Notes, issued in accordance with the Indenture.

  • Class A-1 Rate means 5.604% per annum (computed on the basis of the actual number of days elapsed during the relevant Interest Period and a 360‑day year).

  • Class A-2 Note Balance means, at any time, the Initial Class A-2 Note Balance reduced by all payments of principal made prior to such time on the Class A-2 Notes.

  • Initial Class A-1 Note Balance means $265,000,000.

  • Class A-1 Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-1 hereto.

  • Class A-2-B Interest Rate means LIBOR + 0.27% per annum (computed on the basis of the actual number of days elapsed during the applicable Interest Period, but assuming a 360 day year); provided, however, that for any Interest Period for which the sum of LIBOR + 0.27% is less than 0.00%, the Class A-2-B Interest Rate shall be deemed to be 0.00%.

  • Class A-2 Noteholder means the Person in whose name a Class A-2 Note is registered on the Note Register.

  • Class A Notes means the Class A-1 Notes, the Class A-2 Notes, the Class A-3 Notes and the Class A-4 Notes.

  • Class A-1 Note Interest Rate means a rate per annum equal to 0.64000%.

  • Class A-1 Certificates All Certificates bearing the class designation of "Class A-1".

  • Class A-2B Certificates All Certificates bearing the class designation of "Class A-2B."

  • Class A-1 Current Interest As of any Distribution Date, the interest accrued during the related Accrual Period at the Class A-1 Pass-Through Rate on the Class A-1 Certificate Principal Balance as of such Distribution Date plus the portion of any previous distributions on such Class in respect of Current Interest or a Class A-1 Interest Carry Forward Amount that is recovered as a voidable preference by a trustee in bankruptcy, less any Non-Supported Interest Shortfall allocated on such Distribution Date to the Class A-1 Certificates.
