Class A-1 Note Owner definition

Class A-1 Note Owner with respect to a Book-Entry Class A-1 Note, the Person who is the beneficial owner of such Book-Entry Class A-1 Note, as reflected on the books of the Clearing Agency, or on the books of a Person maintaining an account with such Clearing Agency (directly or as an indirect participant, in accordance with the rules of such Clearing Agency).
Class A-1 Note Owner means, with respect to a Class A-1 Book-Entry Note, the person who is the beneficial owner of such Class A-1 Book-Entry Note, as reflected in the books of the Depository in respect of the Class A-1 Notes or in the books of a person maintaining an account with that Depository (directly as a Clearing Agency Participant or as an indirect participant, in each case in accordance with the rules of that Depository).
Class A-1 Note Owner with respect to a Book-Entry Class A-1 Note, the Person who is the beneficial owner of such Book-Entry Class A-1 Note, as reflected on the books of DTC, or on the books of a Person maintaining an account with DTC (directly or as an indirect participant, in accordance with the rules of DTC). Class A-1 Noteholder: Cede & Co. or a holder of a Definitive Class A-1 Note.

Examples of Class A-1 Note Owner in a sentence

  • Each of the Class A-1 Notes, Class A-2 Notes, Class A-3 Notes and Class A-4 Notes shall initially be registered on the Note Register in the name of Cede & Co., the nominee of The Depository Trust Company, as the initial Clearing Agency, and no Class A-1 Note Owner, Class A-2 Note Owner, Class A-3 Note Owner or Class A-4 Note Owner will receive a definitive note representing such Note Owner's interest, except as provided in Section 2.07.

  • Each of the Class A-1 Notes, Class A-2 Notes, Class A-3a Notes, Class A-3b Notes and Class A-4 Notes shall initially be registered on the Note Register in the name of Cede & Co., the nominee of The Depository Trust Company, as the initial Clearing Agency, and no Class A-1 Note Owner, Class A-2 Note Owner, Class A-3a Note Owner, Class A-3b Note Owner or Class A-4 Note Owner will receive a definitive note representing such Note Owner's interest, except as provided in Section 2.07.

  • The Principal Paying Agent shall treat any Offshore Noteholder, Couponholder or Class A-1 Note Owner who has not delivered its response as of the Response Date as having withheld its consent to the proposed action.

  • Definitions Schedule 1.1 The following words have these meanings unless the contrary intention appears: Class A-1 Note Owner means a Note Owner (as defined in the Definitions Schedule) in respect of the Class A-1 Notes.

  • Offshore Note Owner means, as the context requires, a Class A-1 Note Owner, a Class A-3 Note Owner or both.

  • No Class A-1 Note Owner will be entitled to receive a Class A-1 Definitive Note representing such Class A-1 Note Owner's interest in a Class A-1 Note, except as provided in this clause 3.4.

Related to Class A-1 Note Owner

  • Class A-1 Noteholder means the Person in whose name a Class A-1 Note is registered on the Note Register.

  • Class A-1 Noteholders Interest Carryover Shortfall” means, with respect to any Payment Date, the excess of the Class A-1 Noteholders’ Monthly Accrued Interest for the preceding Payment Date and any outstanding Class A-1 Noteholders’ Interest Carryover Shortfall on such preceding Payment Date, over the amount in respect of interest that is actually paid to Holders of Class A-1 Notes on such preceding Payment Date, plus interest on the amount of interest due but not paid to Holders of Class A-1 Notes on the preceding Payment Date, to the extent permitted by law, at the Class A-1 Interest Rate for the related Interest Period.

  • Class A-1 Note means any of the 0.23000% Asset Backed Notes, Class A-1, issued under the Indenture, substantially in the form of Exhibit A to the Indenture.

  • Class A-1 Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-1 Notes, issued in accordance with the Indenture.

  • Class A-2a Noteholder means the Person in whose name a Class A-2a Note is registered in the Note Register.

  • Class A-2 Noteholder means the Person in whose name a Class A-2 Note is registered on the Note Register.

  • Class A-1 Note Balance means, at any time, the Initial Class A-1 Note Balance reduced by all payments of principal made prior to such time on the Class A-1 Notes.

  • Class A-2 Noteholders means the Class A-2a Noteholders and the Class A-2b Noteholders.

  • Class A-1 Note Rate means, (i) with respect to the initial Series 2003-2 Interest Period, 1.32% per annum and (ii) with respect to each Series 2003-2 Interest Period thereafter, a rate per annum equal to One-Month LIBOR for such Series 2003-2 Interest Period plus 0.20% per annum.

  • Initial Class A-1 Note Balance means $265,000,000.

  • Class A-2b Noteholder means the Person in whose name a Class A-2b Note is registered in the Note Register.

  • Class A-2a Notes means the $359,000,000 Class A-2a 5.14% Asset Backed Notes issued by the Issuer, substantially in the form of Exhibit A to the Indenture.

  • Class A-3 Noteholder means the Person in whose name a Class A-3 Note is registered on the Note Register.

  • Class A-4 Noteholder means the Person in whose name a Class A-4 Note is registered in the Note Register.

  • Class A-2 Note Balance means, at any time, the Initial Class A-2 Note Balance reduced by all payments of principal made prior to such time on the Class A-2 Notes.

  • Class A-2 Notes means the Class A-2a Notes and the Class A-2b Notes, collectively.

  • Class A-2 Note means any of the 0.36% Asset Backed Notes, Class A‑2, issued under the Indenture substantially in the form attached thereto as Exhibit A-2.

  • Class C Noteholders means the holders of any Class C Notes from time to time.

  • Class D Noteholders means the holders of any Class D Notes from time to time.

  • Initial Class A-3 Note Balance means $380,000,000.

  • Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.

  • Class A-2-A Notes has the meaning assigned to such term in the Indenture.

  • Initial Class A-2 Note Balance means $235,000,000.

  • Class A-2 Note Rate means, for (i) the initial Series 2005-1 Interest Period, 2.71% per annum and (ii) any other Series 2005-1 Interest Period, the sum of 0.06% plus LIBOR for such Series 2005-1 Interest Period.

  • Class A-4 Note Balance means, as of any date, the Initial Class A-4 Note Balance reduced by all payments of principal made on or prior to such date on the Class A-4 Notes.

  • Class A-1 Note Interest Rate means a rate per annum equal to 0.64000%.
