Class B-5 Units definition

Class B-5 Units means a Partnership Interest representing a fractional part of the Partnership Interests of all Limited Partners, and having the rights and obligations specified with respect to Class B-5 Units in this Agreement.

Examples of Class B-5 Units in a sentence

  • The Class B Units will be evidenced by Certificates in substantially the form of Exhibit A to this Amendment; provided that Class B Units designated as Class B-1 Units, Class B-2 Units, Class B-3 Units, Class B-4 Units or Class B-5 Units shall each be evidenced by separate Certificates.

  • The Company hereby authorizes the issuance of --------------- Class B-5 Units; none of which are outstanding as of the date hereof as set forth on the Members Schedule (as in effect on the date hereof).

  • The term “Vested Units” shall mean, with respect to an Executive’s Class B-1 Units, Class B-2 Units, Class B-3 Units, Class B-4 Units and Class B-5 Units, the number of such Units that are vested, as determined in Parts 2 through 6 of Schedule I attached hereto.

  • Notwithstanding the foregoing, in the event of the termination of Executive’s service (x) by the Company or any of its Subsidiaries without Cause or (y) due to death, Disability or the Company’s or any of its Subsidiaries’ election not to extend Executive’s term of service, the Vested Units shall include that portion of the Class B-5 Units that would have become Vested Units within 12 months of such termination of service, provided the applicable goals referenced above are attained.

Related to Class B-5 Units

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Class B Units means the Class B Units of the Company.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Class B Interests As set forth in the Trust Agreement.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Class A Common Units means the Company's Class A Common Units.

  • Class D Units has the meaning ascribed to such term in the LLC Agreement.

  • Class B Warrants means the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 5 years, in the form of Exhibit C attached hereto.

  • Class C Shares means the shares of Class C common stock of the Company.

  • Class A Interests means the Units purchased by the Class A Members. The Class A Interests shall comprise sixty-five percent (65%) of the total Interests sold. Class A Percentage Interest shall be determined by calculating the ratio between each Class A Member’s Capital Account in relation to the total capitalization of the Company provided by the Class A Members.

  • Class B-3 Certificates All Certificates bearing the class designation of "Class B-3".

  • Class C Units means the Class C Units of the Company.

  • Class B Shares means the Class B ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class B Shares, and having the rights provided for in these Articles.
