Class B Stockholders definition

Class B Stockholders means the holders of Class B Common Stock.

Class B Stockholders means (i) each holder of Class B Common Stock listed on Schedule A annexed hereto and (ii) each Person that acquires Class B Common Stock after the date hereof in accordance with this Agreement and (x) is a party to this Agreement or (y) becomes a party to this Agreement in accordance with Section 13.5.

Class B Stockholders has the meaning set forth in the preamble hereof.

Examples of Class B Stockholders in a sentence

• The ROFR Transferor will notify each Offeree as to the number of Offered Shares that other Class B Stockholders did not elect to purchase pursuant to this Section 5 within two Business Days following such election (the “Offeree Notice”).

• The ROFR Transferor shall send a copy of the Third Party Offer, which shall include the identity of the Third Party, to each of the Class B Stockholders (the “Offerees”), together with a written offer to sell the Offered Shares to the Offerees on the same terms and conditions, including the Third Party Price, as the Third Party Offer.

• Holdings will provide the Optionee with the Transfer --------------- Notice (as defined in the Certificate of Incorporation) delivered to Class B Stockholders pursuant to Section 4 or Section 5 of the Certificate of Incorporation in accordance with the terms thereof.

• Such notice shall be accompanied by a written offer from the proposed transferee to purchase the Transferred Shares, which offer may be conditioned upon the consummation of the sale by the Transferring Stockholders, or the most recent drafts of the purchase and sale documentation between the Transferring Stockholders and the transferee which shall make provision for the participation of the other Class B Stockholders in such sale consistent with this Section 5.5.

• Any such indemnification shall be made by the Class B Stockholders in proportion to the respective Class B Stockholders’ ownership of Class B Common Stock determined as of the time of the event for which such indemnification is being sought.

More Definitions of Class B Stockholders

Class B Stockholders means all of the stockholders of WorldSpace as of the date hereof other than the Class A Stockholder, which Class B Stockholders (together with their stock ownership in WorldSpace) are listed in a letter delivered by WorldSpace to AMSC as of the date of this Agreement, which list may be corrected by WorldSpace at the Closing as reasonably acceptable to AMSC.

Class B Stockholders is defined in the Amended and Restated Certificate of Incorporation.

Class B Stockholders means Time Warner Inc., Media One Group, Inc., Advance/Newhouse Partnership and the affiliates of each of the foregoing.

Class B Stockholders means EarthLink and SKT and any successor holder of the shares of Class B Common Stock and any stockholder of the Management Company that acquires one or more shares of Class B Common Stock and becomes a party hereto by executing a joinder signature page as provided in Section 12.12 hereof.

Class B Stockholders means each of the holders of Class B Common Stock and their respective successors in interest, in such Person’s respective capacity as a holder of Class B Common Stock.
