Class J Notes definition

Class J Notes. The Class J Tenth Priority Floating Rate Capitalized Interest Term Notes due 2035, issued by the Issuer and the Co-Issuer pursuant to this Indenture.
Class J Notes means the U.S.$18,000,000 aggregate principal amount of Class J Floating Rate Deferrable Interest Notes due 2041.
Class J Notes or “Junior Notes” means the €71,844,000.00 Class J Asset Backed Variable Return Notes due July 2045 issued by the Issuer in the context of the Securitisation.

  • Junior Notes Conditions Except for Junior Notes Conditions relating to theinterest/return payable on the Junior Notes, the denomination and the early redemption of the Junior Notes through the disposal of the Portfolio following full redemption of the Rated Notes, the terms and conditions of the Class J Notes are the same, mutatis mutandis, as the Rated Notes Conditions.

  • Any purported transfer that is not in compliance with this Section 2.4 or the legends on the Indenture Issued Notes will be void ab initio, and will not operate to transfer any rights to the transferee, notwithstanding any instructions to the contrary to the Co-Issuers (in the case of the Indenture Issued Notes other than the Class H Notes and the Class J Notes) or the Issuer (in the case of the Class H Notes and the Class J Notes), the Trustee or any intermediary.

  • If any Event of Default has not been cured or waived and acceleration occurs in accordance with Article 5, including as a result of an Event of Default specified in Section 5.1(f) or 5.1(g), the Class A Notes, the Class B Notes, the Class C Notes, the Class D Notes, the Class E Notes, the Class F Notes, the Class G Notes, the Class H Notes and the Class J Notes shall be paid in full before any further payment or distribution is made on account of the Class J Subordinate Interests.
