The Parties agree that the denial, downward modification, or failure to grant the request for attorneys’ fees or expenses or the request for Class Representative Payment shall not constitute grounds for modification or termination of the Settlement Agreement.
The Settlement Administrator will pay the Class Representative Payment approved by the Court out of the Gross Settlement Amount.
If the Court approves a Class Representative Payment of less than Seven Thousand Five Hundred Dollars ($7,500) for each Plaintiff, the remainder of the unapproved amount will be part of the Net Settlement Amount in accordance with the calculation explained in Section III.D. Payroll tax withholding and deductions will not be taken from the Class Representative Payment and instead an IRS Form 1099 will be issued to each Plaintiff by the Settlement Administrator reflecting the Class Representative Payment.
This paragraph does not preclude Plaintiffs or Class Counsel from appealing from a refusal by the Court to award the full Class Representative Payment, the Class Counsel Fees Payment, or the Class Counsel Litigation Expenses Payment sought by them.
Any Plaintiff who does not execute this Agreement prior to final approval is not eligible for a Class Representative Payment and shall be treated solely as a Class Member.
