Closing Filings. The Company shall file the required Post-Closing Filings with the MOPS and the FSC within 10 calendar days after the Closing Date and shall notify the Representative via email promptly once such Post-Closing Filing is completed. The Representatives agree to provide reasonable assistance to the Company at the Company’s cost for completion of the Post-Closing Filings. The Representative, on behalf of the several Underwriters, may, in its sole discretion, waive in writing the performance by the Company of any one or more of the foregoing covenants or extend the time for their performance.

In connection with the preparation of each of the Signing Press Release, the Signing Filings, the Closing Press Release and the Closing Filings, each Party shall, upon written request by any other Party, furnish such other Party with all information concerning itself, its directors, officers and equityholders, and such other matters as may be reasonably necessary for such press release or filing.
Avalon and the Company shall review, comment upon and approve (which approval shall not be unreasonably withheld, conditioned or delayed) the Closing Filings prior to filing.

Company Filings means all documents publicly filed by or on behalf of the Company on SEDAR since January 1, 2020.
