Closing Stock Value definition

Closing Stock Value shall have the meaning set forth in Section 2.1(d).

Closing Stock Value means the aggregate value, in United States dollars, of the Closing Shares as of the date of this Agreement.

Closing Stock Value means the product obtained by multiplying (a) the Closing Stock Consideration by (b) the Allocation Price.

Closing Stock Value means the aggregate value of Parent Common Stock delivered to the Exchange Agent pursuant to Section 2.05(b), with such aggregate value determined pursuant to Section 2.05(b).

Closing Stock Value means the lower of (i) the volume weighted average price (as quoted by The Nasdaq Global Market) of Parent Stock for the 30-Trading Day period ending two Business Days prior to the Closing, and (ii) the volume weighted average price (as quoted by The Nasdaq Global Market) of Parent Stock for the 30-Trading Day period ending on August 6, 2021.

Closing Stock Value means $16.20.

Closing Stock Value means the closing per-share price of the AT&T Common Stock trading "ex-distribution" or "when issued (to give effect to the Distribution)" as listed on the NYSE as of 4:00 P.M., Eastern Standard Time or Eastern Daylight Time (whichever shall then be in effect) on the Distribution Date; provided, however, that if the Distribution occurs at a time when the NYSE is open for trading, AT&T Ex-Distribution Closing Stock Value shall mean the price at which AT&T Common Stock trading "ex-distribution" or "when issued (to give effect to the Distribution)" last trades immediately before the Distribution; provided further, that if the Distribution occurs prior to the first trade on the Distribution Date, the AT&T Ex-Distribution Closing Stock Value shall mean the price at which AT&T Common Stock trading "ex-distribution" or "when issued (to give effect to the Distribution)" last trades on the trading day immediately preceding the Distribution Date.

Closing Stock Value means the average closing stock price for one share of Acquiror Common Stock for the 10 trading days (as defined in the Company’s articles of incorporation) ending on and including the date five trading days prior to the Closing Date.

Closing Stock Value means $2.00 per share of Buyer Common Stock, as proportionately adjusted from time to time for any stock dividends, stock splits, reverse stock splits, reclassifications or events of a similar nature affecting the shares of Buyer Common Stock after the Effective Time.

Closing Stock Value means an amount equal to the product of (i) the aggregate of the Allocated Raven Shares and (ii) the lesser of (A) the average of the high and low trading prices of a share of Raven Common Stock on Nasdaq on the Closing Date or (B) the Average Price.
