Cloud Offerings definition

Cloud Offerings means the proprietary MuleSoft web-based products and services that may be set forth on an Order Form and subsequently made available by MuleSoft (through Partner, pursuant to this Agreement) via the End Customer login link at xxxxxxxx.xxxxxxxx.xxx and other web pages designated by MuleSoft including associated offline components, as described in the Documentation (but excluding Third Party Solution Components or infrastructure).
Cloud Offerings mean the Bentley products and services made available to Subscriber and accessed by Users via the Internet for use under the terms herein.
Cloud Offerings means cloud services and/or goods offered through any Vendor and made available to resellers and end users to offer, order, manage.

Examples of Cloud Offerings in a sentence

  • Subscriber is responsible for providing all equipment and the connectivity necessary to access and use Cloud Offerings via the Internet.

  • Subscriber shall not utilize bots, agents, auction crawlers or other computer based crawling programs in conjunction with its use of the Cloud Offerings.

  • Without limiting the foregoing, Subscriber agrees not to put any material into the Cloud Offerings which contain any viruses, time bombs, Trojan horses, worms, cancelbots or other computer programming routines that may damage, interfere with, intercept or expropriate any system or data.

  • Bentley may, in association with Products or Cloud Offerings, make certain Documentation available to Subscriber.

  • Bentley services eligible for funding through the CSS program include Term Licenses (as defined in the SELECT Program Terms), CALs (including Visas and Passports) (as defined in the SELECT Program Terms), Cloud Offerings, E365 Program and Recurring Services (“Eligible CSS Services”).

  • Subscriber shall immediately notify Xxxxxxx of any unauthorized use of Cloud Offerings.

  • Xxxxxxx may use the De-Identified Data for any lawful purposes, including but not limited to marketing, promoting, benchmarking, improving and further developing its Cloud Offerings, and the development and improvement of associated artificial intelligence and machine learning algorithms.

  • Subscriber shall be solely responsible for the Subscriber Data, including without limitation for uploading such data, securing transmission of such data to Bentley, and/or appropriately formatting and configuring such data for use with the Bentley Cloud Offerings.

  • Subscriber acknowledges and agrees that Xxxxxxx may in its sole discretion utilize a third-party service provider to provision Bentley Cloud Offerings and/or Subscriber Data.

  • Xxxxxxx shall use reasonable efforts to provide advance notice to Subscriber in the event of any scheduled Downtime, and to minimize any disruption of the Cloud Offerings in connection with Downtime.


More Definitions of Cloud Offerings

Cloud Offerings means the products and services offered by Us online via the Site for Your use, ordering and/or purchase, which may be accessed via the Site.
Cloud Offerings means, collectively, Cloud Services, Cloud Support and Cloud Add-Ons, as applicable.
Cloud Offerings as used in this XXXX shall mean collectively, eGain’s Cloud Services, Cloud Support (as defined in Section 2.8 below) and Cloud Add-Ons (as defined in Section 2.4 below).
Cloud Offerings means NVIDIA-offered platform-as-a-service, APIs and materials (such as NVIDIA DGX Cloud and NVIDIA Omniverse Cloud), all of which as available for cloud access.
Cloud Offerings means the proprietary MuleSoft web-based products and services that may be set forth on an Order Form and subsequently made available by MuleSoft (through Partner, pursuant to this Agreement) via the End Customer login link at anypoint.mulesoft.com and other web pages designated by MuleSoft including associated offline components, as described in the User Guide (but excluding Third Party Solution Components or infrastructure); and any Support and Maintenance releases of the Cloud Offerings that may be made available to End Customer during the relevant Subscription Term.
Cloud Offerings means the proprietary NHG web-based products and services that may be set forth on an Order Form and subsequently made available by NHG (through Partner, pursuant to this Agreement) via the End Customer login link at anypoint.NHG.com and other web pages designated by NHG including associated offline components, as described in the Documentation (but excluding Third Party Solution Components or infrastructure).

Related to Cloud Offerings

  • Limited Offering means an offering that is exempt from registration under the 1933 Act pursuant to Section 4(2) or Section 4(6) thereof or pursuant to Rule 504, Rule 505, or Rule 506 thereunder.

  • Offering shall have the meaning ascribed to such term in Section 2.1(c).

  • Initial Offering means the initial offering and sale of Common Units to the public, as described in the Registration Statement.

  • Public Offering means the sale in an underwritten public offering registered under the Securities Act of equity securities of the Company or a corporate successor to the Company.

  • Initial Public Offering means an offering of securities registered under the Securities Act of 1933, the issuer of which, immediately before the registration, was not subject to the reporting requirements of sections 13 or 15(d) of the Securities Exchange Act of 1934.

  • Offerings means In-App Products, and any item or service made available through a RIME Store including, any RIM Product, Software, RIM Service, Third Party Item or Third Party Service made so available.

  • Underwritten Public Offering means an underwritten Public Offering, including any bought deal or block sale to a financial institution conducted as an underwritten Public Offering.

  • Rule 415 Offering means an offering on a delayed or continuous basis pursuant to Rule 415 (or any successor rule to similar effect) promulgated under the Securities Act.

  • Equity Offering means any public or private sale of common stock or Preferred Stock of the Issuer or any of its direct or indirect parent companies (excluding Disqualified Stock), other than:

  • Piggyback Offering has the meaning set forth in Section 7(a).

  • Initial Public Offering” (“IPO means an offering of securities registered under the 1933 Act, the issuer of which, immediately before the registration, was not subject to the reporting requirements of Sections 13 or 15(d) of the 1934 Act.

  • Public Equity Offering means an underwritten primary public offering of common stock of the Company pursuant to an effective registration statement under the Securities Act.

  • Shelf Offering has the meaning set forth in Section 1(d)(i).

  • Maximum Offering means, with respect to some or all participants in the Non-423(b) Plan Component, a maximum number or value of shares of the Common Stock made available for purchase in a specified period (e.g., a 12-month period) in specified countries, locations or to Employees of specified Designated Subsidiaries. Such maximum shall be determined by the Board (or a committee authorized by the Board) in such a manner as to avoid securities filings, to achieve certain tax results or to meet other Company objectives.

  • Subsequent Offering means any further issuance of Interests in any Series, excluding any Initial Offering or Transfer.

  • Oracle Open Source Service Offering(s) means the Oracle Linux Service Offering(s), the Oracle VM Service Offering(s), and the Oracle Verrazzano Service Offering(s).

  • Service Offerings or “services” means the services specified in the Services Agreement.

  • Secondary Offering means an offering of securities of a publicly traded company that prior to the offering were not registered under the Securities Act of 1933, as amended.

  • Delayed Offering means an offering of securities pursuant to Rule 415 which does not commence promptly after the effective date of a registration statement, with the result that only information required pursuant to Rule 415 need be included in such registration statement at the effective date thereof with respect to the securities so offered. Whether the offering of the Securities is a Non-Delayed Offering or a Delayed Offering shall be set forth in Schedule I hereto.

  • Periodic Offering means an offering of Securities of a series from time to time, the specific terms of which Securities, including, without limitation, the rate or rates of interest, if any, thereon, the stated maturity or maturities thereof and the redemption provisions, if any, with respect thereto, are to be determined by the Issuer or its agents upon the issuance of such Securities.

  • Initial Public Offering” or “IPO means an offering of securities registered under the Securities Act of 1933, the issuer of which, immediately before the registration, was not subject to the reporting requirements of Sections 13 or 15(d) of the Securities Exchange Act of 1934.

  • Qualified Initial Public Offering means a public offering of the securities of Parent pursuant to an effective registration statement filed under the Securities Act, that is fully underwritten pursuant to a firm commitment contract and with respect to which the product of (a) the price to the public per share multiplied by (b) the aggregate number of offered shares will yield Net Offering Proceeds of at least $50,000,000.

  • Qualifying Public Offering means a firm commitment underwritten public offering of Stock for cash where the shares of Stock registered under the Securities Act are listed on a national securities exchange.

  • Private Offering means the private offering of Preferred Stock pursuant to the Memorandum.

  • COMMENCEMENT OF THE INITIAL PUBLIC OFFERING means the date that the Securities and Exchange Commission declares effective the registration statement filed under the Securities Act for the Initial Public Offering.

  • Primary Offering means the portion of an Offering other than the Shares offered pursuant to the Company’s distribution reinvestment plan.
