CMBS Facilities Documentation definition

CMBS Facilities Documentation means, collectively, (i) the Loan and Security Agreement, dated as of June 14, 2007, among a Specified Lease Entity, as borrower, and the lenders party thereto, (ii) each Mezzanine Loan and Security Agreement, dated as of June 14, 2007, among a Specified Lease Entity, as borrower, and the lenders party thereto, (iii) each of the promissory notes entered into by a Specified Lease Entity in connection with the foregoing, (iv) each of the mortgages, assignments of leases and rents, pledge agreements and other security instruments entered into by a Specified Lease Entity in connection with the foregoing, (v)the Environmental Indemnity, Environmental Indemnity (First Mezzanine), Environmental Indemnity (Second Mezzanine), Environmental Indemnity (Third Mezzanine) and Environmental Indemnity (Fourth Mezzanine), each dated as of June 14, 2007, among Holdings, German American Capital Corporation (“GACC”), and Bank of America, N.A. (“Bank of America” and, together with GACC, collectively, the “CMBS Lender”), (vi) the Environmental Indemnity, Environmental Indemnity (First Mezzanine), Environmental Indemnity (Second Mezzanine), Environmental Indemnity (Third Mezzanine) and Environmental Indemnity (Fourth Mezzanine), each dated as of June 14, 2007, among PRP Holdings, LLC and the CMBS Lender, (vii) the Environmental Indemnity, Environmental Indemnity (First Mezzanine), Environmental Indemnity (Second Mezzanine), Environmental Indemnity (Third Mezzanine) and Environmental Indemnity (Fourth Mezzanine), each dated as of June 14, 2007, among Private Restaurant Master Lessee, LLC and the CMBS Lender, (viii) the Guaranty of Recourse Obligations, Guaranty of Recourse Obligations (First Mezzanine), Guaranty of Recourse Obligations (Second Mezzanine), Guaranty of Recourse Obligations (Third Mezzanine) and Guaranty of Recourse Obligations (Fourth Mezzanine) each dated as of June 14, 2007, between Holdings and the CMBS Lender, each entered into by Holdings and (ix) a guaranty of the Master Leases by the Borrower or any of its Subsidiaries, in each case as amended, restated, extended, amended and restated, refinanced, replaced or otherwise modified from time to time.
CMBS Facilities Documentation means, collectively, (i) the Loan and Security Agreement, dated as of March 27, 2012, among a Specified Lease Entity, as borrower, and the lenders party thereto, (ii) each Mezzanine Loan and Security Agreement, dated as of March 27, 2012, among a Specified Lease Entity, as borrower, and the lenders party thereto, (iii) each of the promissory notes entered into by a Specified Lease Entity in connection with the foregoing, (iv) each of the mortgages, assignments of leases and rents, pledge agreements and other security instruments entered into by a Specified Lease Entity in connection with the foregoing, (v) the Environmental Indemnity, Environmental Indemnity (First Mezzanine) and Environmental Indemnity (Second Mezzanine), each dated as of March 27, 2012, among Holdings, German American Capital Corporation (“GACC”), and Bank of America, N.A. (“Bank of America” and, together with GACC, collectively, the “CMBS Lender”), (vi) the Environmental Indemnity, Environmental Indemnity (First Mezzanine) and Environmental Indemnity (Second Mezzanine), each dated as of March 27, 2012, between PRP Holdings, LLC and the CMBS Lender, (vii) the Environmental Indemnity, Environmental Indemnity (First Mezzanine) and Environmental Indemnity (Second Mezzanine), each dated as of March 27, 2012, among the Borrower, Private Restaurant Master Lessee, LLC and the CMBS Lender, (viii) the Guaranty of Recourse Obligations, Guaranty of Recourse Obligations (First Mezzanine) and Guaranty of Recourse Obligations (Second Mezzanine), each dated as of March 27, 2012, between OSI Holdco I, Inc. and the CMBS Lender, (ix) a guaranty of the Master Leases by the Borrower or any of its Subsidiaries, (x) the Subordination, Non- Disturbance and Attornment Agreement, dated as of March 27, 2012, among the Borrower, Private Restaurant Master Lessee, LLC, a Specified Lease Entity and the CMBS Lender, (xi) the Subordination Agreement, dated as of March 27, 2012, among Private Restaurant Master Lessee, LLC, certain other Subsidiaries of the Borrower, a Specified Lease Entity and the CMBS Lender and (xii) any other agreements entered into from time to time in connection with the CMBS Facilities, in each case as amended, restated, extended, amended and restated, refinanced, increased, replaced or otherwise modified from time to time.

Related to CMBS Facilities Documentation

  • Securities Documents means all reports, offering circulars, proxy statements, registration statements and all similar documents filed, or required to be filed, pursuant to the Securities Laws.

  • Refinancing Facility Agreement means a Refinancing Facility Agreement, in form and substance reasonably satisfactory to the Agent, among Holdings, the Borrower, each Subsidiary of the Borrower party to this Agreement, the Agent and one or more Refinancing Lenders, establishing Refinancing Commitments and effecting such other amendments hereto and to the other Loan Documents as are contemplated by Section 2.26.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Security Documentation means the Security Documentation applicable to the specific Services purchased by Client, as updated from time to time, or as otherwise made reasonably available by IRONSCALES.

  • Facility Agreements means the agreements of that name between the Issuer and different

  • Procurement Documents means the procurement documents attached hereto as Schedule F (if any);

  • ABL Facility Documents means the agreements and other instruments governing the ABL Facility, together with any guarantees thereof and any security documents, other collateral documents and other instruments relating thereto (including documents and instruments governing Hedging Obligations required by the ABL Facility or relating to ABL Obligations).

  • Refinancing Documents means each of the agreements, documents and instruments entered into in connection with the Refinancing.

  • Second Lien Notes Documents means the Second Lien Notes Indenture, the Second Lien Notes and all other agreements, instruments and other documents pursuant to which the Second Lien Notes have been or will be issued or otherwise setting forth the terms of the Second Lien Notes.

  • Project Documents means all documents relating to the Construction Loan, Mortgage Loan and Construction Contract. It shall also include all documents required by any governmental agency having jurisdiction over the Apartment Housing in connection with the development, construction and financing of the Apartment Housing, including but not limited to, the approved Plans and Specifications for the development and construction of the Apartment Housing.

  • Financing Arrangements means the arrangements between the Borrower and the State as per current policy of the Borrower, and acceptable to ADB;

  • Agreement Documents means the instructions to proponents, scope of service, addenda, response to the RFP, and the acceptance of proposal together with all subsequently negotiated agreements, written amendments, modifications, and supplements to such documents and all written authorizations signed by the administrator(s) amending, deleting, or adding to the contract.

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Refinancing Facility has the meaning specified in Section 2.16(a).

  • Local Facility Agreements means any agreement under which a Local Facility is made available.

  • Notes Documents means the Notes (including Additional Notes), the Note Guarantees, the Collateral Documents, the Intercreditor Agreements and this Indenture.

  • Senior Facilities Agreement means the senior facilities agreement dated on or about the date hereof executed between, among others, (a) the Original Senior Borrower, (b) the Original Senior Lenders, (c) the Senior Agent and (d) the Security Agent.

  • Existing Indebtedness Agreements shall have the meaning provided in Section 5.05.

  • DIP Facilities means the DIP ABL Facility and the DIP Term Loan Facility.

  • Bank Facilities means any overdraft limits or credit facility available to you and their associated terms;

  • Exit Facility Documents means, collectively, the Exit Credit Agreement, and all other agreements, documents, and instruments delivered or entered into in connection with the Exit Facility, including any guarantee agreements, pledge and collateral agreements, intercreditor agreements, subordination agreements, fee letters, and other security documents

  • Senior Facilities means the Credit Agreement and any Additional Senior Debt Facilities.

  • Credit Agreement Documents means the collective reference to any Credit Agreement, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced (whether or not upon termination, and whether with the original lenders or otherwise), restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • Debt Documents means, collectively, the Credit Agreement, the Designated Indebtedness Documents, any Hedging Agreement evidencing or relating to any Hedging Agreement Obligations and the Security Documents.

  • Existing Facility Agreement means Existing Facility Agreement A, Existing Facility Agreement B, Existing Facility Agreement C and Existing Facility Agreement D and, in the plural, means all of them;
