Cognizant Employees means persons who, immediately after the Effective Time, are employed by the Cognizant Group (including persons who are absent from work by reason of layoff or leave of absence and inactive employees treated as such by agreement therewith).

Examples of Cognizant Employees in a sentence

  • From and after the Effective Time, Cognizant shall sponsor its Employee Benefit Welfare Plans solely for the benefit of Cognizant Employees.

  • The Cognizant Group shall be responsible for and pay expenses and benefits relating to all Employee Benefit Welfare Plan claims incurred by Cognizant Employees and their covered dependents from and after the Effective Time.

  • Active participation of Cognizant Employees and ACNielsen Employees in the D&B Retirement Plan shall cease immediately after the Effective Time.

  • As of the Effective Time, (i) each unexercised D&B Stock Option held by Cognizant Employees shall be cancelled and (ii) such individuals shall receive replacement stock options awarded under the Cognizant Replacement Plans, which shall be adopted by Cognizant prior to the Effective Time.

  • The Cognizant Group shall assume all Liabilities with respect to awards granted to Cognizant Employees pursuant to the Cognizant Replacement Option Plan.

Related to Cognizant Employees

  • Relevant Employees means the employees who may be affected by a change referred to in subclause (1).

  • Designated Employees means a person occupying any of the following position in the Company:

  • Contract employee means an employee performing services under a PEO services contract or

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Current Employees has the meaning set forth in Section 5.6(a).

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Client employer means an Employer that is involved in a Tri-Party Employment Relationship due to obtaining the services of a third-party entity.

  • Management Employee means an employee in a position having significant responsibilities for formulating district policies or administering district programs. Management positions shall be designated by the public school employer subject to review by the Public Employment Relations Board.

  • Retained Employees has the meaning set forth in Section 8.1.

  • Contractor employee means prime Contractor and subcontractor employees who require agency access to perform work under a CMS contract.

  • Prime Contractor employee, as used in this clause, means any officer, partner, employee, or agent of a prime Contractor.

  • Subcontractor employee, as used in this clause, means any officer, partner, employee, or agent of a subcontractor.

  • Hired Employees shall have the meaning set forth in Section 7.5(a).

  • Student Employee means a student who is paid by the District, and may include students participating in a work study program or who receive stipends while they are acting within the scope of their employment at the District at the time the intellectual property was created.

  • Auxiliary Employee meaning an employee who is employed for work which is not of a continuous nature such as: 1. seasonal positions; 2. positions created to carry out special projects or work which is not continuous; 3. temporary positions created to cover employees on vacation, short term disability leave, education leave, compassionate leave, or other leave; 4. temporary positions created by special programs such as the summer student employment program, winter works programs for the unemployed, emergencies such as floods or other special temporary programs;

  • Contractor Key Personnel means the Contractor Project Manager and those Project Staff members identified as “Key Personnel” as set forth in a Statement of Work.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Technical Employees means those employees having special and specific engineering, geological or other professional skills, and whose primary function in Joint Operations is the handling of specific operating conditions and problems for the benefit of the Joint Property.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Replacement Employee means an employee specifically engaged to replace an employee proceeding on parental leave.

  • Casual Employees are employed on an "on call" basis to cover absences due to sick leave, vacation, or other approved leaves, or to augment staff during peak periods or periods of staff shortage.

  • Key Personnel means those persons named in the Specification as being key personnel.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Transferred Employees has the meaning set forth in Section 6.4(a).
