Examples of Inactive Employees in a sentence
Schedule 12.1(a) provides a list of employees of Seller who are on short-term or long-term disability or on leave of absence pursuant to the Seller's policies or Law (each, an "Inactive Employee" and collectively "Inactive Employees"), provides the date such absence began, and provides the date, if known, that the employee is expected to return to work.
The list of Inactive Employees on Schedule 12.1(a) will be updated as of the Effective Time.
Purchased Subsidiary Employees and Business Employees who accept such offer of employment and who actually commence employment with Buyer (or a Subsidiary of Buyer) shall collectively be the “Transferred Employees”; provided that Inactive Employees shall not be considered a Transferred Employee until such Inactive Employee actually commences active employment with Buyer (or a Subsidiary of Buyer).
Inactive Employees who are receiving long-term disability benefits as of the Closing Date shall remain employed by Seller and shall remain eligible for coverage under the Business Benefit Plans until such time that such employee returns from such leave and presents himself or herself for active employment with Purchaser or its Affiliates or until the employment of such employee is terminated by Seller in accordance with Seller’s long-term disability leave policies.
Except as specified otherwise in this Agreement and subject to applicable law, BMS business travel accident policies shall retain all Liabilities with respect to claims incurred (A) prior to the Separation Date by Mead Johnson Employees (other than Mead Johnson Employees of a Transferred Entity) and (B) on or after the Separation Date and prior to the Return Date by Mead Johnson Inactive Employees, as are covered under the terms of such policies.
