Inactive Employees definition

Inactive Employees has the meaning specified in Section 6.2(a).

Inactive Employees shall have the meaning set forth in Section 7.01.

Inactive Employees means those Business Employees who, as of the Closing Date, are not actively at work including by reason of long-term disability, short-term disability or other continuous absence;

Examples of Inactive Employees in a sentence

• Schedule 12.1(a) provides a list of employees of Seller who are‌ on short-term or long-term disability or on leave of absence pursuant to the Seller's policies or Law (each, an "Inactive Employee" and collectively "Inactive Employees"), provides the date such absence began, and provides the date, if known, that the employee is expected to return to work.

• The list of Inactive Employees on Schedule 12.1(a) will be updated as of the Effective Time.

• Purchased Subsidiary Employees and Business Employees who accept such offer of employment and who actually commence employment with Buyer (or a Subsidiary of Buyer) shall collectively be the “Transferred Employees”; provided that Inactive Employees shall not be considered a Transferred Employee until such Inactive Employee actually commences active employment with Buyer (or a Subsidiary of Buyer).

• Inactive Employees who are receiving long-term disability benefits as of the Closing Date shall remain employed by Seller and shall remain eligible for coverage under the Business Benefit Plans until such time that such employee returns from such leave and presents himself or herself for active employment with Purchaser or its Affiliates or until the employment of such employee is terminated by Seller in accordance with Seller’s long-term disability leave policies.

• Except as specified otherwise in this Agreement and subject to applicable law, BMS business travel accident policies shall retain all Liabilities with respect to claims incurred (A) prior to the Separation Date by Mead Johnson Employees (other than Mead Johnson Employees of a Transferred Entity) and (B) on or after the Separation Date and prior to the Return Date by Mead Johnson Inactive Employees, as are covered under the terms of such policies.

More Definitions of Inactive Employees

Inactive Employees means Business Employees who are on a Seller-approved leave of absence on the Closing Date as a result of military service, pregnancy or parental leave, disability leave, medical leave or any leave provided under applicable Law.

Inactive Employees means the Affected Employees identified in Appendix A who are expected to be absent from work as of the Start Date, as a result of sick leave/short term, long term disability, pregnancy and/or parental leave, an approved leave of absence, or as a result of suffering a compensable workplace injury under the Workplace Safety and Insurance Act (Ontario);

Inactive Employees means each employee of Seller or its Affiliates (other than the Acquired Entities) who is employed by Seller or such Affiliate and is on Leave and immediately prior to Leave primarily devoted his or her business time to the Business.

Inactive Employees has the meaning set forth in Section 3.20(a) of this Agreement.

Inactive Employees means Employees on a Seller-approved leave of absence who are expected to return and actually return to work within the relevant time period set out below. An Employee shall be an Inactive Employee for purposes hereof only if such individual is absent as a result of military service, pregnancy or parental leave, disability leave, medical leave, jury duty or any leave provided under applicable Law and, in the case of leaves provided under applicable Law, is expected to return to work and actually returns to work in the time permitted for such leave under applicable Law and, for any other leave, is expected to return to work and actually returns to work in accordance with the terms of such leave but not longer than ninety (90) days (or, if such Employee is located in Canada, six (6) months) following the Closing Date.

Inactive Employees has the meaning ascribed thereto in Section 4.9(c);
