Collaboration Activities definition

Collaboration Activities means the activities set out in this Agreement

Collaboration Activities means the collaborative program of activities for the Development of Collaboration mRNA Constructs and Product Candidates that is engaged in by or on behalf of the Parties under this Agreement during the Collaboration Term, including [***].

Collaboration Activities means activities that the Parties have described in a Development Plan and which the Parties shall pursue in connection with development and testing leading to the Commercialization of the Concept.

Examples of Collaboration Activities in a sentence

• Promptly, but no later than (***) days after the Effective Date, the Parties will establish a joint project team (the “JPT”) to monitor, coordinate, facilitate information exchange, and otherwise oversee the Collaboration Activities and the Technology Transfer Activities.

• Promptly, but no later than (***) days after the Effective Date, the Parties will establish a joint steering committee (“JSC”), which JSC will coordinate and oversee or monitor the Parties’ Collaboration Activities and Technology Transfer Activities.

• A Party’s representatives to the JSC will have appropriate technical credentials, experience and knowledge, and ongoing familiarity with the Collaboration Activities and Collaboration Plan, and the Technology Transfer Activities and the Technology Transfer Plan, and will have supervisory responsibilities within such Party’s organization with respect to performance of the Collaboration Activities and the Technology Transfer Activities.

• Neither Party may grant any sublicense under the Collaboration License granted to it under Section 4.1 (Mutual Collaboration License Grant) without the prior written consent of the other Party other than to Subcontractors engaged by such Party to perform some portion of its Collaboration Activities.

• Each Party will perform all of its Collaboration Activities in accordance with the Collaboration Plan and otherwise in accordance with this Agreement and the Clinical Supply Agreements (as applicable), and each Party will use all reasonable efforts to perform such Collaboration Activities in accordance with the agreed timelines for the conduct of the Collaboration.

More Definitions of Collaboration Activities

Collaboration Activities means the activities conducted by or on behalf of one or more of the Parties or its Affiliates as part of the Collaboration.

Collaboration Activities means, collectively, the Xxxxx 0 Xxxxxxxxxx, Xxxxx 0 Activities and Collaboration CMC Activities, or other Development activities conducted by or on behalf of the Parties pursuant to the Collaboration Plans.

Collaboration Activities has the meaning set forth in Section 2.2(a).

Collaboration Activities means the responsibilities of the Parties under this Agreement to research, develop, manufacture, and commercialize the Product.

Collaboration Activities means those tests, studies and other activities set forth in, or performed in order to obtain the information set forth in, the Collaboration Plan and such other tests, studies and other activities as may be agreed upon from time to time by the JSC.

Collaboration Activities means the Parties’ collaborative activities (performed directly and/or, as may be permitted hereunder, on their behalf through their Affiliates, Third Party sublicensees and/or Third Party subcontractors) performed to the extent expressly provided hereunder in the Development Program under the Global Development Plan and its Work Plans.

Collaboration Activities means any activities undertaken under the Research Plan by or on behalf of a Party, either solely or jointly with the other Party. For clarity, Collaboration Activities excludes all RayzeBio Activities.
