Collateral Access Agreements definition

Collateral Access Agreements means a landlord waiver, mortgagee waiver, bailee letter or similar acknowledgment of any lessor, warehouseman or processor in possession of any Collateral or on whose property any Collateral is located in form and substance reasonably satisfactory to the Agent.

Collateral Access Agreements means a collateral access agreement in form and substance reasonably satisfactory to Collateral Agent between Collateral Agent and any lessor, warehouseman, processor, bailee, consignee, or other Person in possession of, having a Lien upon, or having rights or interests in, any Credit Party’s books and records or assets.

Collateral Access Agreements means any landlord waivers, mortgagee waivers, bailee letters and any similar usage, access or acknowledgment agreements of any Person, such as a warehouseman, processor, lienholder or lessor, in possession of any assets of any Borrower or any other Credit Party, in each case in form and substance reasonably satisfactory to the Agent.

Examples of Collateral Access Agreements in a sentence

• Fully executed (except by Agent and the Lenders) Collateral Access Agreements reasonably requested by Agent with respect to the Collateral.

• Each Loan Party will, and will cause each of its Subsidiaries to, use their commercially reasonable efforts to obtain Collateral Access Agreements for each of the locations identified on Schedule 7 to the Guaranty and Security Agreement and Schedule 4.25 to this Agreement.

More Definitions of Collateral Access Agreements

Collateral Access Agreements means any landlord waivers, mortgagee waivers, bailee letters or any similar acknowledgement agreements of any warehousemen or processor in possession of Inventory, in each case substantially in the form of Exhibit N hereto (or prior to obtaining any such agreement, in the form previously attached as Exhibit N to the Existing Credit Agreement), in each case with such changes thereto as are reasonably acceptable to the Administrative Agent.

Collateral Access Agreements means an agreement reasonably satisfactory in form, scope and substance to Lender executed by (a) a bailee or other Person in possession of Collateral, or (b) a landlord of Real Estate leased by Borrower or any Guarantor, in each case, pursuant to which such landlord, bailee or other Person (i) acknowledges the Lien granted to Lender on the Collateral, (ii) releases or subordinates such Person’s Liens in the Collateral held by such Person or located on such Real Estate, and (iii) (A) as to any bailee or other Person, provides Lender with access to the Collateral held by such bailee or other Person or located in or on such Real Estate, and (B) as to any landlord, provides Lender with access to the Collateral located in or on such Real Estate and a reasonable time to sell and remove of the Collateral from such Real Estate.

Collateral Access Agreements shall have the meaning given to such term in Section 5.1(e).

Collateral Access Agreements in the Loan Agreement and the other Financing agreements are hereby amended to include, in addition and not in limitation, any Notification and Acknowledgment Agreements.
