Collateral Asset Value means, for the Borrower and the Guarantors, for any period, determined on a consolidated basis in accordance with GAAP, the sum of the book value of the Borrower’s and the Guarantors’ accounts receivable, inventory, equipment, deposit accounts, investment property (other than the Capital Stock of any Subsidiary of the Borrower owned by the Borrower or such Guarantor) and cash that are subject to a perfected first priority lien (subject to Liens set forth in paragraphs (i), (iii), (v), paragraphs (viii) through (xiii) and paragraph (xv) of the definition ofPermitted Liens”) in favor of the Collateral Agent, as reflected on the most recently delivered financial statements of the Borrower and its Subsidiaries
